**DUFRY HA RAGGIUNTO IL 96,3858% DEL CAPITALE SOCIALE DI AUTOGRILL (INCLUSE LE AZIONI PROPRIE)**

# **PROCEDURA CONGIUNTA PER L'ESERCIZIO DEL DIRITTO DI ACQUISTO AI SENSI DELL'ARTICOLO 111 DEL TUF E L'ADEMPIMENTO DELL'OBBLIGO DI ACQUISTO AI SENSI DELL'ARTICOLO 108, COMMA 1, DEL TUF SU TUTTE LE AZIONI RESIDUE**

Con riferimento alla procedura per l'adempimento dell'obbligo di acquisto ai sensi dell'art. 108, comma 2, del Decreto Legislativo 24 febbraio 1998, n. 58 come successivamente modificato e integrato (il "**TUF**") avviata da Dufry AG ("**Dufry**" o l'"**Offerente**") in data 12 giugno 2023 (la "**Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF**") in relazione alle 21.159.960 azioni ordinarie di Autogrill S.p.A. ("**Autogrill**" o l'"**Emittente**") in circolazione non detenute dall'Offerente (le "**Azioni Residue**") a seguito della conclusione della riapertura dei termini dell'offerta pubblica di scambio obbligatoria promossa dall'Offerente sulle azioni ordinarie di Autogrill ai sensi degli artt. 102 e 106, commi 1 e 2-*bis* del TUF (l'"**Offerta**"), facendo seguito al comunicato avente ad oggetto i risultati provvisori della Procedura per l'Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF (e del Private Placement per Obbligo di Acquisto) pubblicato in data 1 luglio 2023, l'Offerente rende noto quanto segue.

I termini non definiti nel presente comunicato hanno il medesimo significato ad essi attribuito (i) nel comunicato stampa avente ad oggetto i risultati definitivi della Riapertura dei Termini dell'Offerta nonché le modalità di svolgimento della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF e (ii) nel documento di offerta (il "**Documento di Offerta**"), approvato con delibera Consob n. 22661 del 5 aprile 2023 e pubblicato in data 11 aprile 2023, tra l'altro, sul sito internet dell'Offerente ([www.](http://www.dufry.com/)dufry.com) e sul sito *internet* dell'Offerente dedicato all'Offerta [\(www.opa](http://www.opa-autogrill.com/)[autogrill.com\)](http://www.opa-autogrill.com/).

La Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF (incluso il Private Placement Statunitense per l'Obbligo di Acquisto) posta in essere dall'Offerente ha avuto a oggetto le 21.159.960 Azioni Residue, rappresentanti il 5,4956% del capitale sociale dell'Emittente. Il periodo per la presentazione delle Richieste di Vendita da parte dei possessori delle Azioni Residue nell'ambito della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF (e del Private

Placement Statunitense per l'Obbligo di Acquisto) è iniziato in data 12 giugno 2023 e si è concluso in data 30 giugno 2023 (il "**Periodo di Presentazione delle Richieste di Vendita**").

# **Risultati definitivi della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF**

Sulla base dei risultati definitivi resi noti da UniCredit Bank AG, Milan Branch, quale intermediario incaricato del coordinamento della raccolta delle Richieste di Vendita nell'ambito della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF (incluso il Private Placement Statunitense per l'Obbligo di Acquisto), secondo quanto indicato da ciascun Intermediario Depositario, durante il Periodo di Presentazione delle Richieste di Vendita sono state presentate Richieste di Vendita relative a complessive 7.244.025 Azioni Residue, rappresentanti (i) l'1,8814% del capitale sociale dell'Emittente e (ii) il 34,2346% del totale delle Azioni Residue.

Pertanto, i risultati definitivi sopra riportati risultano invariati rispetto ai risultati provvisori diffusi con il comunicato avente ad oggetto i risultati provvisori ad esito della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF.

Con riferimento alle 7.244.025 Azioni Residue per le quali sono state presentate Richieste di Vendita nell'ambito della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF (incluso il Private Placement Statunitense per l'Obbligo di Acquisto):

- (i) il Corrispettivo in Azioni (ossia 0,1583 azioni Dufry di nuova emissione quotate e negoziate sul Six Swiss Exchange per ciascuna Azione Residua), verrà corrisposto ai titolari di 2.592.993 Azioni Residue (rappresentanti il 35,7949% delle azioni portate in adesione durante il Periodo di Presentazione delle Richieste di Vendita); e
- (ii) il Corrispettivo Alternativo in Denaro (ossia, Euro 6,33 per ciascuna Azione Residua) verrà corrisposto ai titolari di 4.651.032 Azioni Residue (rappresentanti il 64,2051% delle azioni portate in adesione durante il Periodo di Presentazione delle Richieste di Vendita).

Durante il Periodo di Presentazione delle Richieste di Vendita, l'Offerente non ha acquistato alcuna azione di Autogrill al di fuori della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF (incluso il Private Placement Statunitense per l'Obbligo di Acquisto).

Pertanto, tenuto conto (a) delle 7.244.025 Azioni Residue che sono state oggetto di Richieste di Vendita nell'ambito della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF (incluso il Private Placement Statunitense per l'Obbligo di Acquisto) e (b) delle 363.276.282 azioni ordinarie di Autogrill già detenute direttamente dall'Offerente prima dell'inizio del Periodo di Presentazione delle Richieste di Vendita, alla data di pagamento della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF l'Offerente verrà a detenere direttamente complessive 370.520.307 azioni ordinarie di Autogrill, pari al 96,2307% del capitale sociale della stessa. Sommando le 597.300 Azioni Proprie detenute da Autogrill alla data odierna, la partecipazione complessivamente detenuta nel capitale sociale di Autogrill dall'Offerente, direttamente e, per quanto riguarda le Azioni Proprie, indirettamente, all'esito della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF sarà costituita da 371.117.607 azioni, pari al 96,3858% del capitale sociale di Autogrill.

### **Pagamento del Corrispettivo per l'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF**

Gli azionisti di Autogrill che hanno presentato Richieste di Vendita nell'ambito della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF (incluso il Private Placement

Statunitense per l'Obbligo di Acquisto) riceveranno il Corrispettivo per l'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF loro spettante - vale a dire, a seconda dei casi in base alle loro richieste, il Corrispettivo in Azioni o il Corrispettivo in Denaro – alla Data di Pagamento del Corrispettivo per l'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF, ossia in data 7 luglio 2023 (il quinto giorno di borsa aperta successivo alla chiusura Periodo di Presentazione delle Richieste di Vendita) a fronte del contestuale trasferimento all'Offerente del diritto di proprietà sulle azioni Autogrill, con le modalità descritte nell'apposito paragrafo del comunicato stampa pubblicato in data 7 giugno 2023 (incluso con riferimento al trattamento delle eventuali Parti Frazionarie).

Al fine di pagare il Corrispettivo in Azioni agli Azionisti Richiedenti che ne hanno fatto richiesta nelle loro Richieste di Vendita, l'Offerente emetterà 410.471 azioni Dufry, pari allo 0,2766% del capitale sociale dell'Offerente risultante da tale emissione alla Data di Pagamento del Corrispettivo per l'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF. A seguito di tale emissione, tale capitale sociale sarà rappresentato da 148.397.687 azioni ordinarie. L'importo complessivo del Corrispettivo Alternativo in Denaro spettante agli Azionisti Richiedenti che ne hanno fatto richiesta nelle loro Richieste di Vendita ammonta invece a Euro 29.441.032,56.

## **Procedura Congiunta per l'esercizio del Diritto di Acquisto e l'adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 1, del TUF**

Al termine della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF (incluso il Private Placement Statunitense per l'Obbligo di Acquisto) la partecipazione complessivamente detenuta dall'Offerente nel capitale sociale di Autogrill direttamente e indirettamente (quanto alle Azioni Proprie) è superiore al 95%. Considerato che l'Offerente ha già dichiarato, tra l'altro, nel Documento di Offerta, la sua intenzione di esercitare il Diritto di Acquisto, sussistono i presupposti di legge per l'esercizio di tale diritto e per l'adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 1, del TUF con riferimento a tutte le 13.915.935 azioni ordinarie di Autogrill in circolazione non possedute, direttamente o indirettamente, dall'Offerente ad esito della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF (le "**Azioni Rimanenti**"), le quali rappresentano il 3,6142% del capitale sociale di Autogrill.

Pertanto, come già rappresentato nel Documento di Offerta e nel comunicato stampa pubblicato in data 7 giugno 2023, successivamente alla Data di Pagamento del Corrispettivo dell'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF, l'Offerente eserciterà il Diritto di Acquisto e, contestualmente, adempierà all'Obbligo di Acquisto ai sensi dell'Art. 108, comma 1, del TUF nei confronti dei rimanenti azionisti dell'Emittente che ne facciano richiesta, mediante apposita procedura congiunta concordata con CONSOB e Borsa Italiana (la "**Procedura Congiunta**"), le cui modalità e termini sono di seguito indicati.

Ai sensi dell'art. 111 del TUF, la Procedura Congiunta si concluderà con il trasferimento all'Offerente della proprietà di tutte le Azioni Rimanenti, ivi incluse, per chiarezza, quelle detenute da azionisti Autogrill che nell'ambito della Procedura Congiunta non presentino alcuna Richiesta di Vendita Relativa alla Procedura Congiunta (come di seguito definita).

Contestualmente alla Procedura Congiunta, l'Offerente effettuerà negli Stati Uniti un nuovo collocamento privato riservato a "*qualified institutional buyer*" o "QIB" (ai sensi della Rule 144A di cui allo U.S. Securities Act of 1933 come modificato the "**US Securities Act**") che siano titolari di Azioni Rimanenti, agli stessi termini e condizioni di cui alla Procedura Congiunta (ivi inclusi il medesimo Periodo di Presentazione delle Richieste di Vendita Relative alla Procedura Congiunta e il medesimo Corrispettivo per la Procedura Congiunta, entrambi come di seguito definiti), avvalendosi dell'esenzione dagli obblighi di registrazione

prevista per i private placement dalla Sezione 4(a)(2) dello U.S. Securities Act (il "**Private Placement Statunitense per la Procedura Congiunta**").

### *(i) Corrispettivo per la Procedura Congiunta*

Nell'ambito della Procedura Congiunta, l'Offerente riconoscerà agli azionisti dell'Emittente – in osservanza degli artt. 111 e 108, commi 3 e 5, del TUF, un corrispettivo unitario (il "**Corrispettivo per la Procedura Congiunta**") identico al Corrispettivo per l'Obbligo di Acquisto ai sensi dell'Art. 108, comma 2, del TUF, e dunque:

- (a) il Corrispettivo in Azioni, ossia 0,1583 azioni Dufry per ciascuna Azione Autogrill, o
- (b) il Corrispettivo Alternativo in Denaro, ossia Euro 6,33 per ciascuna azioni Autogrill, nel caso in cui l'Azionista Richiedente (come di seguito definito) faccia espressamente richiesta di ricevere tale forma di Corrispettivo nella Richiesta di Vendita Relativa alla Procedura Congiunta, come di seguito definita. Qualora tutti gli azionisti di Autogrill presentassero Richieste di Vendita Relative alla Procedura Congiunta con riferimento alla totalità delle Azioni Rimanenti chiedendo il Corrispettivo Alternativo in Denaro, l'importo complessivo in denaro che dovrebbe essere pagato dall'Offerente per tutte le Azioni Residue sarebbe pari a Euro 88.087.868,55.

**Si precisa al riguardo che agli azionisti titolari di Azioni Rimanenti che non presenteranno alcuna richiesta di vendita nell'ambito della Procedura Congiunta sarà corrisposto (esclusivamente) il Corrispettivo in Azioni, con la sola eccezione degli azionisti residenti nei Paesi Esclusi i quali riceveranno il Corrispettivo Alternativo in Denaro.**

# *(ii) Periodo per l'esercizio della facoltà di scelta relativa alla forma del Corrispettivo per la Procedura Congiunta*

Il periodo, concordato con Borsa Italiana e CONSOB, nel corso del quale gli azionisti di Autogrill potranno esercitare la propria facoltà di scelta, ai sensi degli artt. 108, comma 5, e 111, comma 2, del TUF, circa la forma del Corrispettivo per la Procedura Congiunta, ossia tra il Corrispettivo in Azioni e il Corrispettivo Alternativo in Denaro, avrà inizio alle ore 8:30 (ora italiana) del 10 luglio 2023 e terminerà alle ore 17:30 (ora italiana) del 17 luglio 2023 (il "**Periodo di Presentazione delle Richieste di Vendita Relative alla Procedura Congiunta**"), soggetto a eventuale proroga ai sensi delle leggi e dei regolamenti applicabili.

# *(iii) Modalità di presentazione delle Richieste di Vendita relative alla Procedura Congiunta e deposito delle relative Azioni Rimanenti*

I titolari di Azioni Rimanenti che intendono richiedere a Dufry di acquistare tali azioni nell'ambito della Procedura Congiunta (gli "**Azionisti Richiedenti**") dovranno presentare la relativa richiesta di vendita mediante sottoscrizione e consegna a un Intermediario Incaricato, entro il termine del Periodo di Presentazione delle Richieste di Vendita Relative alla Procedura Congiunta, di apposita scheda (che sarà disponibile presso la sede dell'Intermediario Incaricato del Coordinamento della Raccolta delle Richieste di Vendita Relative alla Procedura Congiunta, le sedi degli Intermediari Incaricati, nonché sul sito internet dell'Emittente, dell'Offerente e del Global Information Agent) debitamente compilata in ogni sua parte (la "**Richiesta di Vendita Relativa alla Procedura Congiunta**"), con contestuale deposito delle Azioni Rimanenti presso detto Intermediario Incaricato. Gli Intermediari Incaricati che raccoglieranno le Richieste di Vendita Relative alla Procedura Congiunta sono gli stessi Intermediari Incaricati che hanno raccolto le adesioni all'Offerta (come indicati al Paragrafo B.3 del Documento di Offerta) e successivamente le Richieste di Vendita nell'ambito della Procedura di Adempimento dell'Obbligo di Acquisto ai sensi dell'Art.

108, comma 2, del TUF, vale a dire UniCredit Bank AG (Milan Branch), BNP Paribas, Succursale Italia, EQUITA S.I.M. S.p.A., Crédit Agricole Italia S.p.A., Banca Monte dei Paschi di Siena S.p.A. I titolari delle Azioni Rimanenti potranno consegnare la Richiesta di Vendita Relative alla Procedura Congiunta e depositare le Azioni Rimanenti in essa indicate anche presso uno degli Intermediari Depositari, a condizione che la consegna e il deposito siano effettuati in tempo utile per consentire a questi ultimi di provvedere al deposito delle Azioni Rimanenti presso gli Intermediari Incaricati entro e non oltre il termine del Periodo di Presentazione delle Richieste di Vendita Relative alla Procedura Congiunta.

Solo le Azioni Rimanenti regolarmente iscritte (in forma dematerializzata) e disponibili su un conto titoli dell'Azionista Richiedente da questi acceso presso un Intermediario Depositario potranno essere cedute all'Offerente nell'ambito della Procedura Congiunta. Inoltre, tali azioni dovranno essere libere da vincoli e gravami di ogni genere e natura, siano essi reali, obbligatori e personali, oltre che liberamente trasferibili all'Offerente. Infine, le Azioni Rimanenti derivanti da operazioni di acquisto effettuate sul mercato potranno essere oggetto di una Richiesta di Vendita Relativa alla Procedura Congiunta solo a seguito dell'intervenuto regolamento delle operazioni medesime nell'ambito del sistema di liquidazione.

Le Richieste di Vendita Relative alla Procedura Congiunta da parte di soggetti minori o di persone affidate a tutori o curatori, ai sensi delle applicabili disposizioni di legge, sottoscritte da chi esercita la potestà, la tutela o la curatela, se non corredate dall'autorizzazione del tribunale competente in materia di tutela o curatela, saranno accolte con riserva e soddisfatte solo se l'autorizzazione è ricevuta dall'Intermediario Depositario o dall'Intermediario Incaricato prima della fine del Periodo di Presentazione delle Richieste di Vendita Relative alla Procedura Congiunta e il pagamento del Corrispettivo per la Procedura Congiunta in relazione a tali adesioni avverrà in ogni caso solo ad autorizzazione ottenuta.

In considerazione del regime di dematerializzazione delle azioni Autogrill, la sottoscrizione della Richiesta di Vendita Relativa alla Procedura Congiunta varrà anche quale mandato e istruzione irrevocabile conferita dal singolo titolare di Azioni Rimanenti all'Intermediario Incaricato, o al relativo Intermediario Depositario presso il quale le Azioni Rimanenti siano depositate in conto titoli, a eseguire tutte le formalità necessarie per il trasferimento delle Azioni Rimanenti all'Offerente, anche attraverso conti transitori presso tali intermediari, se del caso.

Per tutto il periodo in cui le Azioni Rimanenti indicate in una Richiesta di Vendita Relativa alla Procedura Congiunta risulteranno vincolate alla Procedura Congiunta e, quindi, sino alla Data di Esecuzione della Procedura Congiunta, gli Azionisti Richiedenti potranno esercitare i diritti patrimoniali e amministrativi relativi a tali Azioni Rimanenti, che resteranno nella titolarità degli stessi Azionisti Richiedenti. Tuttavia, nel medesimo periodo, gli Azionisti Richiedenti non potranno cedere o altrimenti trasferire alcuna di tali Azioni Rimanenti.

Le Richieste di Vendita Relative alla Procedura Congiunta presentate dai titolari di Azioni Rimanenti (o da coloro che abbiano il potere di rappresentarli) nel corso del Periodo di Presentazione delle Richieste di Vendita Relative alla Procedura Congiunta sono irrevocabili e non modificabili.

# *(iv) Esecuzione della Procedura Congiunta: data e modalità di pagamento del Corrispettivo per la Procedura Congiunta; trasferimento della titolarità delle Azioni Rimanenti all'Offerente; trattamento delle Parti Frazionarie*

Il regolamento della Procedura Congiunta, consistente nel trasferimento all'Offerente della titolarità di tutte le Azioni Rimanenti (ivi incluse, per chiarezza, quelle che non siano state oggetto di alcuna Richiesta di Vendita Relativa alla Procedura Congiunta) e nel pagamento agli azionisti Autogrill del Corrispettivo per la

Procedura Congiunta sarà effettuato il quinto Giorno di Borsa Aperta successivo alla data di chiusura del Periodo di Presentazione delle Richieste di Vendita Relative alla Procedura Congiunta, vale a dire il 24 luglio 2023, salvo proroga (la "**Data di Esecuzione della Procedura Congiunta**").

In particolare, alla Data di Esecuzione della Procedura Congiunta:

- (a) il Corrispettivo in Azioni spettante agli Azionisti Richiedenti verrà pagato mediante trasferimento del numero spettante di azioni Dufry sui conti titoli degli Azionisti Richiedenti presso gli Intermediari Incaricati o gli Intermediari Depositari (con le modalità e secondo le procedure specificate nella Richiesta di Vendita Relativa alla Procedura Congiunta); e
- (b) il Corrispettivo Alternativo in Denaro spettante agli Azionisti Richiedenti verrà pagato mediante accredito del relativo importo agli Intermediari Incaricati, che trasferiranno i fondi agli Intermediari Depositari, affinché questi ultimi a loro volta provvedano al trasferimento agli Azionisti Richiedenti in conformità alle istruzioni fornite dagli Azionisti Richiedenti stessi (o dai loro mandatari) nell'ambito della Richiesta di Vendita Relativa alla Procedura Congiunta, con le modalità e secondo le procedure specificate nella Richiesta di Vendita Relativa alla Procedura Congiunta;
- (c) l'Offerente metterà il Corrispettivo in Azioni a disposizione anche degli azionisti titolari di Azioni Rimanenti che non abbiano presentato una Richiesta di Vendita Relativa alla Procedura Congiunta e non siano residenti nei Paesi Esclusi. Gli azionisti titolari di Azioni Rimanenti che non abbiano presentato una Richiesta di Vendita Relativa alla Procedura Congiunta e siano residenti nei Paesi Esclusi, riceveranno il Corrispettivo Alternativo in Denaro.

Nessun interesse sarà corrisposto dall'Offerente o da alcun altra persona sul Corrispettivo Alternativo in Denaro.

Con riferimento alle Azioni Rimanenti per le quali non saranno presentate Richieste di Vendita Relative alla Procedura Congiunta, alla Data di Esecuzione della Procedura Congiunta l'Offerente trasmetterà ad Autogrill la comunicazione di cui all'articolo 111, comma 3, del TUF. Una volta effettuata tale comunicazione, il trasferimento della titolarità di tutte le Azioni Rimanenti all'Offerente sarà efficace e sarà quindi iscritto nel libro soci dell'Emittente.

Qualora ad un azionista di Autogrill spetti un Corrispettivo in Azioni composto da un numero non intero di azioni Dufry, l'Intermediario Depositario o l'Intermediario Incaricato presso il quale tale Azionista Richiedente ha presentato la propria Richiesta di Vendita Relativa alla Procedura Congiunta dovrà indicare nella medesima la parte frazionaria di detto numero non intero (ognuna, una "**Parte Frazionaria**"). Ciascun Intermediario Incaricato, anche per conto degli Intermediari Depositari che gli abbiano fatto pervenire Richieste di Vendita Relative alla Procedura Congiunta nelle quali non si richieda il Corrispettivo Alternativo in Denaro, provvederà a comunicare all'Intermediario Incaricato del Coordinamento della Raccolta delle Richieste di Vendita Relative alla Procedura Congiunta, vale a dire UniCredit Bank AG, Milan Branch, il numero di azioni Dufry derivante dall'aggregazione di tutte le Parti Frazionarie consegnate a detto Intermediario Incaricato.

Analogamente, per gli azionisti che non abbiano presentato una Richiesta di Vendita Relativa alla Procedura Congiunta e ai quali spetti un Corrispettivo in Azioni composto da un numero non intero di azioni Dufry, si provvederà all'aggregazione delle Parti Frazionarie e gli Intermediari Depositari provvederanno a comunicare all'Intermediario Incaricato del Coordinamento della Raccolta delle Richieste di Vendita il numero di azioni Dufry derivante da tale aggregazione.

L'Intermediario Incaricato del Coordinamento della Raccolta delle Richieste di Vendita, in nome e per conto degli azionisti interessati e sulla base della comunicazione ricevuta da ciascun Intermediario Incaricato o Intermediario Depositario, provvederà all'aggregazione delle Parti Frazionarie e alla successiva vendita sul Six Swiss Exchange a condizioni di mercato (compreso il tasso di cambio) del numero intero di azioni Dufry di nuova emissione risultante da tale aggregazione. I proventi in denaro di tali vendite (in Euro) saranno trasferiti a ciascun Intermediario Incaricato o Intermediario Depositario, che procederà quindi all'accredito ai relativi azionisti di Autogrill, in proporzione alle rispettive Parti Frazionarie (tale importo in contanti corrispondente alla Parte Frazionaria viene denominato l'"**Importo in Contanti della Parte Frazionaria**"), come segue: entro 10 Giorni di Borsa Aperta dalla Data di Esecuzione della Procedura Congiunta, l'Intermediario Incaricato del Coordinamento della Raccolta delle Richiesta di Vendita accrediterà l'importo della vendita (in Euro) agli Intermediari Depositari (per il tramite degli Intermediari Incaricati, per quanto riguarda gli importi da corrispondersi agli azionisti che abbiano presentato una Richiesta di Vendita Relativa alla Procedura Congiunta) ripartendolo in maniera tale da far pervenire a ciascun Intermediario Depositario una cifra pari al totale dell'Importo in Contanti della Parte Frazionaria dovuto agli azionisti di Autogrill interessati. Gli Intermediari Depositari dovranno, a loro volta, distribuire e accreditare i proventi agli azionisti di Autogrill interessati.

Si precisa che, conseguentemente all'attribuzione del Corrispettivo in Azioni, qualora un'Azionista Richiedente presenti una Richiesta di Vendita Relativa alla Procedura Congiunta per un numero di Azioni Autogrill inferiore a 7 (i.e. il numero minimo di azioni Autogrill che, moltiplicato per 0,1583, consente di ottenere almeno 1 azione Dufry), lo stesso azionista avrà diritto di ricevere esclusivamente l'Importo in Contanti della Parte Frazionaria. Lo stesso trattamento sarà riservato ai titolari di un numero di Azioni Rimanenti inferiore a 7 per le quali non saranno presentate Richieste di Vendita Relative alla Procedura Congiunta, qualora abbiano diritto a ricevere il Corrispettivo in Azioni nell'ambito della Procedura Congiunta. Nessun interesse verrà corrisposto dall'Offerente, né da qualsiasi altra persona, sull'Importo in Contanti della Parte Frazionaria.

### *(v) Garanzie di esatto adempimento della Procedura Congiunta*

Le massime 2.202.893 nuove azioni Dufry da attribuire quale Corrispettivo in Azioni (assumendo che tutti i titolari di Azioni Residue presentino Richieste di Vendita Relative alla Procedura Congiunta per tutte le azioni Autogrill rispettivamente detenute senza richiedere il Corrispettivo Alternativo in Denaro) saranno emesse dall'Offerente, entro la Data di Esecuzione della Procedura Congiunta, in esecuzione dell'Aumento di Capitale a Servizio dell'Offerta, come riconosciuto e determinato dal consiglio di amministrazione di Dufry in data 30 marzo 2023, a valere sul *capital range* da ultimo autorizzato dall'assemblea ordinaria degli azionisti di Dufry tenutasi in data 8 maggio 2023.

Quale garanzia di esatto adempimento dell'obbligo dell'Offerente di pagare il Corrispettivo Alternativo in Denaro agli Azionisti Richiedenti che ne abbiano fatto richiesta nella loro Richiesta di Vendita Relativa alla Procedura Congiunta, la Banca Emittente, ossia Unicredit Bank AG, si è impegnata a rilasciare anche la garanzia per l'esatto adempimento delle obbligazioni relative alla Procedura Congiunta. Prima dell'inizio del Periodo per la Presentazione delle Richiesta di Vendita Relative alla Procedura Congiunta, la Banca Emittente provvederà a emettere la suddetta garanzia, per un importo complessivo pari all'ammontare massimo del Corrispettivo Alternativo in Denaro possibilmente dovuto dall'Offerente ad esito della Procedura Congiunta (assumendo che tutti gli Azionisti Richiedenti presentino Richieste di Vendita Relative alla Procedura Congiunta per tutte le loro azioni richiedendo il Corrispettivo Alternativo in Denaro).

### *(vi) Delisting delle azioni Autogrill*

A norma dell'art. 2.5.1, comma 6, del Regolamento dei Mercati organizzati e gestiti da Borsa Italiana S.p.A., Borsa Italiana disporrà la revoca dalla quotazione sull'Euronext Milan delle azioni di Autogrill a decorrere dal 24 luglio 2023 (Data di Esecuzione della Procedura Congiunta), previa sospensione del titolo nelle sedute del 20 e 21 luglio 2023.

**DUFRY HAS REACHED 96.3858% OF AUTOGRILL'S SHARE CAPITAL (INCLUDING TREASURY SHARES)**

# **JOINT PROCEDURE TO EXERCISE THE RIGHT TO PURCHASE PURSUANT TO ARTICLE 111 OF THE CFA AND TO COMPLY WITH THE OBLIGATION TO PURCHASE UNDER ARTICLE 108, PARAGRAPH 1, OF THE CFA ON ALL OF THE RESIDUAL AUTOGRILL SHARES**

With reference to the procedure to comply with the obligation to purchase under Article 108, Paragraph 2, of Legislative Decree No. 58 of 24 February 1998, as subsequently amended and supplemented (the "**CFA**") commenced by Dufry AG ("**Dufry**" or the "**Offeror**") on June 12, 2023 (the "**Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA**") for 21,159,960 outstanding ordinary shares of Autogrill S.p.A. ("**Autogrill**" or the "**Issuer**") not held by the Offeror (the "**Remaining Shares**") following the completion of the reopening of the tender period of the mandatory exchange offer launched by the Offeror for the ordinary shares of Autogrill pursuant to art. 102 and 106, Paragraphs 1 and 2-*bis*, of the CFA (the "**Offer**"), further to the notice announcing the preliminary results of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA (and the Obligation to Purchase through the U.S. Private Placement) published on July 1, 2023, the Offeror announces the following.

All terms not defined in this press release shall have the same meaning given to them (i) in the press release concerning the final results of the Reopening of the Tender Period and the terms of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA published on June 7, 2023 as well as (ii) in the offer document, approved by Consob with resolution no. 22661 of April 5, 2023, and published on April 11, 2023 (the "**Offer Document**") among others, on the Offeror's website [www.dufry.com](http://www.dufry.com/) and on the dedicated website of Dufry [\(www.opa-autogrill.com\)](http://www.opa-autogrill.com/).

The Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA (including the Obligation to Purchase through the U.S. Private Placement) carried out by the Offeror targeted the 21,159,960 Remaining Shares, equal to 5.4956% of the share capital of the Issuer. The period for the submission of the Requests for Sale by the holders of Remaining Shares in the context of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA (and the Obligation to Purchase through the U.S. Private Placement) started on June 12, 2023 and ended on June 30, 2023 (the "**Period for the Submission of the Requests for Sale**").

# **Final results of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA**

Based on the final results disclosed by UniCredit Bank AG, Milan Branch, in its capacity as intermediary responsible for coordinating the collection of the Requests for Sale, in the context of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA (including the Obligation to Purchase through the U.S. Private Placement), based on the information provided by each Depositary Intermediary, during the Period for the Submission of the Requests for Sale, Autogrill shareholders submitted Requests for Sale relating to 7,244,025 Remaining Shares, representing (i) 1.8814% of the Issuer's share capital and (ii) 34.2346% of the total Remaining Shares.

Therefore, the final results above are the same as the preliminary results disclosed in the press release announcing the preliminary results of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the TUF published on July 1, 2023.

In connection with the 7,244,025 Remaining Shares for which Requests for Sale were submitted in the context of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA (including the Obligation to Purchase through the U.S. Private Placement):

- (i) the Share Consideration (namely, 0.1583 newly-issued ordinary shares of Dufry admitted to trading on the Six Swiss Exchange per each Remaining Share) will be paid to the holders of 2,592,993 Remaining Shares (representing 35.7949% of the shares tendered during Period for the Submission of the Requests for Sale); and
- (ii) the Cash Alternative Consideration (namely, Euro 6.33 per each Remaining Share) will be paid to the holders of 4,651,032 Remaining Shares (representing 64.2051% of the shares tendered during the Period for the Submission of the Requests for Sale).

During the Period for the Submission of the Requests for Sale, the Offeror did not acquire any shares of Autogrill outside the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA (including the Obligation to Purchase through the U.S. Private Placement).

Therefore, taking into account (a) the 7,244,025 Remaining Shares for which Requests for Sale were submitted in the context of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA (including the Obligation to Purchase through the U.S. Private Placement) and (b) the 363,276,282 ordinary shares of Autogrill already directly held by the Offeror prior to the beginning of the Period for the Submission of the Requests for Sale, on the Payment Date of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA, the Offeror will directly hold 370,520,307 ordinary shares of Autogrill, equal to 96.2307% of the share capital of the latter. Adding together the 597,300 Treasury Shares held by Autogrill as of today's date, the total stake held in the share capital of Autogrill by the Offeror, directly and, as regards the Treasury Shares, indirectly, following the end of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA will amount to 371,117,607 shares, equivalent to 96.3858% of the share capital of Autogrill.

### **Payment of the Consideration for the Obligation to Purchase under Art. 108, Par. 2, of the CFA**

The shareholders of Autogrill that submitted Requests for Sale in the context of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2 of the CFA (including the Obligation to Purchase through the U.S. Private Placement) will receive the Consideration for the Obligation to Purchase under Art. 108, Par. 2, of the CFA due to them – i.e., either the Share Consideration or the Cash Alternative

Consideration depending on their choice in the Requests for Sale – on the Payment Date of the Consideration for the Obligation to Purchase under Art. 108, Par. 2, of the CFA, namely July 7, 2023 (being the fifth Trading Day following the end of the Period for the Submission of the Requests for Sale) against transfer of ownership of the Autogrill shares to the Offeror, in accordance with the procedures described in the dedicated paragraph of the press release published on June 7, 2023 (including with respect to the treatment of any Fractional Parts).

In order to provide the Share Consideration to the Requesting Shareholders, the Offeror, in execution of the Offer Capital Increase, will issue 410,471 Dufry shares, representing 0.2766% of the share capital of the Offeror following such issuance as of the Payment Date of the Consideration for the Obligation to Purchase under Art. 108, Par. 2, of the CFA. Following such issuance, the subscribed and paid-up share capital of Dufry will be represented by 148,397,687 ordinary shares. The aggregate amount of the Cash Alternative Consideration due to the Requesting Shareholders that so requested in their Requests for Sale is equal to Euro 29,441,032.56.

### **Joint Procedure for the execution of the Squeeze Out Procedure and the fulfilment of the obligation to purchase under Art. 108, Par. 1 of the CFA**

Following the completion of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA (including the Obligation to Purchase through the U.S. Private Placement) the total shareholding directly or indirectly (as for the Treasury Shares) held by the Offeror in the share capital of Autogrill is higher than 95%. Since the Offeror already declared, *inter alia*, in the Offer Document its intention to carry out the Squeeze-Out Procedure, the relevant legal requirements have been met as well as those for the performance of the Obligation to Purchase under Art. 108, Par. 1, of the CFA with reference to all of the 13,915,935 outstanding ordinary shares of Autogrill not held, directly or indirectly, by the Offeror following the completion of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA (the "**Residual Shares**"), equal to 3.6142% of the share capital of Autogrill.

Therefore, as previously indicated in the Offer Document and the press release published on June 7, 2023, following the Payment Date of the Consideration for the Obligation to Purchase pursuant to Art 108, Par. 2, of the CFA, the Offeror will carry out the Squeeze Out Procedure and, concurrently, will comply with the Obligation to Purchase under art. 108, Par. 1, of the CFA *vis-à-vis* the remaining shareholders of the Issuer that so request, through a specific joint procedure agreed upon with CONSOB and Borsa Italiana (the "**Joint Procedure**"), terms and conditions of which are described below.

Pursuant to Article 111 of the CFA, the Joint Procedure will result in the transfer to the Offeror of ownership of each of the Residual Shares, including, for the sake of clarity, shares held by Autogrill shareholders that do not submit any Request for Sale Concerning the Joint Procedure (as defined below).

Simultaneously with the Joint Procedure, the Offeror will launch in the United States a new private placement addressed solely to "qualified institutional buyers", or "QIBs" (as defined in Rule 144A of the U.S. Securities Act of 1933, as amended (the "**U.S. Securities Act**")) who hold Residual Shares, under the same terms and conditions as the Joint Procedure (including the same Period for the Submission of the Requests for Sale Concerning the Joint Procedure and the same Consideration for the Joint Procedure, both as defined below), in reliance on the exemption from registration provided for private placements pursuant to Section 4(a)(2) of the U.S. Securities Act (the "**Joint Procedure through the U.S. Private Placement**").

## *(i) Consideration for the Joint Procedure*

In the context of the Joint Procedure, the Offeror - in compliance with Articles 111 and 108, Paragraphs 3 and 5 of the CFA - will pay to any shareholder of the Issuer the same Consideration of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, (the "**Consideration for the Joint Procedure**") and hence:

- (a) the Share Consideration, namely 0.1583 shares of Dufry for each Autogrill share, or
- (b) the Cash Alternative Consideration, namely Euro 6.33 for each Autogrill share, in the event the Requesting Shareholder (as defined below) expressly requests to receive such type of Consideration in the Request for Sale Concerning the Joint Procedure, as defined below. Should all of the Autogrill shareholders submit Requests for Sale Concerning the Joint Procedure for all of the Residual Shares requesting the Cash Alternative Consideration, the aggregate amount in cash payable by the Offeror for all of the Residual Shares would be equal to Euro 88,087,868.55.

# **Please note that shareholders holding Residual Shares that do not submit any Request for Sale Concerning the Joint Procedure will receive solely the Share Consideration, with the sole exception of shareholders resident in the Excluded Countries who will receive the Cash Alternative Consideration.**

# *(ii) Period to exercise the right to choose with respect to the type of Consideration for the Joint Procedure*

The period, agreed to with Borsa Italiana and CONSOB, during which Autogrill shareholders may exercise their right to choose, pursuant to Articles 108, Paragraph 5, and 111, Paragraph 2, of the CFA, with respect to the type of Consideration for the Joint Procedure, *i.e.*, between the Share Consideration and the Cash Alternative Consideration, will start at 8:30 (Italian time) on July 10, 2023 and will end at 17:30 (Italian time) on July 17, 2023 (the "**Period for the Submission of the Requests for Sale Concerning the Joint Procedure**"), subject to possible extension in accordance with applicable laws and regulations.

## *(iii) Procedure for the submission of the Requests for Sale Concerning the Joint Procedure and the deposit of the relevant Residual Shares*

The holders of Residual Shares who intend to request Dufry to purchase such shares in the context of the Joint Procedure (the "**Requesting Shareholders**") shall submit a request for sale by executing and delivering to a Responsible Intermediary, prior to the end of the Period for the Submission of the Requests for Sale Concerning the Joint Procedure, the specific form (which can be found at the registered office of the Intermediary Responsible for Coordinating the Collection of the Requests for Sale Concerning the Joint Procedure and the Responsible Intermediaries as well as on website of the Issuer, the Offeror and the Global information Agent) duly completed in all of its parts (the "**Request for Sale Concerning the Joint Procedure**") and simultaneously depositing the Residual Shares with such Responsible Intermediary. The Responsible Intermediaries that will collect the Requests for Sale Concerning the Joint Procedure are the same Responsible Intermediaries that have collected the tenders in the Offer (as indicated in Paragraph B.3 of the Offer Document) and subsequently, the Requests for Sale in the context of the Procedure to Comply with the Obligation to Purchase under Art. 108, Par. 2, of the CFA, i.e. UniCredit Bank AG (Milan Branch), BNP Paribas, Succursale Italia, EQUITA S.I.M. S.p.A., Crédit Agricole Italia S.p.A., Banca Monte dei Paschi di Siena S.p.A. The holders of Residual Shares can also deliver the Requests for Sale Concerning the Joint Procedure to, and deposit the Residual Shares indicated therein with, any of the

Depositary Intermediaries, provided that the delivery and deposit are made in time for the Depositary Intermediaries to deposit the Residual Shares with a Responsible Intermediary no later than the end of the Period for the Submission of the Requests for Sale Concerning the Joint Procedure.

Only those Residual Shares that are duly registered (in dematerialized form) and available in a securities account of the Requesting Shareholder opened at a Depositary Intermediary may be the subject matter of Requests for Sale Concerning the Joint Procedure. Moreover, such shares shall be free of encumbrances of any kind and nature, whether *in rem*, obligatory or personal, as well as freely transferable to the Offeror. Finally, the Residual Shares resulting from transactions performed on the market may be included in a Request for Sale Concerning the Joint Procedure only after settlement of such transactions in the context of the clearing system.

The Requests for Sale Concerning the Joint Procedure by minors or persons under guardianship or receivership, in accordance with applicable legal provisions, which are executed by the parent(s), guardian(s) or receiver(s), if not accompanied by the authorization of the guardianship or receivership court, will be accepted under reservation and will be satisfied only if the authorization is received by the Depositary Intermediary or the Responsible Intermediary before the end of the Period of for the Submission of the Requests for Sale Concerning the Joint Procedure and the payment of the Consideration for the Joint Procedure relating to such tenders will occur in any case only after the authorization is received.

Since the Autogrill shares are held in a dematerialized form, the execution and delivery of the Request for Sale Concerning the Joint Procedure will constitute an irrevocable mandate and instruction given by each holder of Residual Shares to the Responsible Intermediary, or to the relevant Depositary Intermediary at whose securities account the shares are deposited, to perform all the necessary formalities for the transfer of the Residual Shares to the Offeror, including through temporary accounts at such intermediaries, if applicable.

For the entire period that the Residual Shares indicated in a Request for Sale Concerning the Joint Procedure are bound to the Joint Procedure and, thus, until the Settlement Date of the Joint Procedure, the Requesting Shareholders may still exercise the economic and administrative rights pertaining to the Residual Shares, which shall remain the property of such Requesting Shareholders. However, during the same period, the Requesting Shareholders may not transfer or dispose of the Residual Shares.

The Requests for Sale Concerning the Joint Procedure submitted by the holders of Residual Shares (or by their duly empowered representatives) during the Period for the Submission of the Requests for Sale Concerning the Joint Procedure, and, in particular, the choice of the type of Consideration for the Joint Procedure made in the Request for Sale Concerning the Joint Procedure, may not be withdrawn or changed.

# *(iv) Completion of the Joint Procedure: date and procedure for the payment of the Consideration for the Joint Procedure; transfer of the title on the Residual Shares to the Offeror; handling of the Fractional Parts*

The settlement of the Joint Procedure, consisting in the transfer to the Offeror of title of all the Residual Shares (including, for the sake of clarity, the shares for which no Request for Sale Concerning the Joint Procedure has been submitted) and the payment to the Autogrill shareholders of the Consideration for the Joint Procedure, will occur on the fifth Trading Day following the end of the Period for the Submission of the Requests for Sale Concerning the Joint Procedure, *i.e.* on July 24, 2023, subject to possible extension (the "**Settlement Date of the Joint Procedure**").

In particular, on the Settlement Date of the Joint Procedure:

- (a) the Share Consideration due to Requesting Shareholders will be paid through the transfer of the Dufry shares due in the securities accounts at the Responsible Intermediaries or the Depositary Intermediaries owned by the Requesting Shareholders; or
- (b) the Cash Alternative Consideration due to Requesting Shareholders, if any, will be paid through the transfer of the relevant amount to the Responsible Intermediaries, which shall transfer the funds to the Depositary Intermediaries, which in turn shall credit such funds to the Requesting Shareholders in accordance with the instructions issued by the Requesting Shareholders (or their representatives) in the Request for Sale Concerning the Joint Procedure, all in compliance with the procedures set forth in the Request for Sale Concerning the Joint Procedure;
- (c) the Offeror will make the Share Consideration available also to the shareholders holding Residual Shares that that have not submitted a Request for Sale Concerning the Joint Procedure and are not resident in the Excluded Countries. Shareholders holding Residual Shares that that have not submitted a Request for Sale Concerning the Joint Procedure and are resident in the Excluded Countries, will receive the Cash Alternative Consideration.

No interest will be paid by the Offeror or any other person on the Cash Alternative Consideration.

With respect to the Residual Shares for which no Requests for Sale Concerning the Joint Procedure, on the Settlement Date of the Joint Procedure the Offeror will submit to Autogrill the notice pursuant to Article 111, Paragraph 3, of the CFA. Once such notification is made, the transfer of title of all the Residual Shares to the Offeror will be effective and will thus be recorded on the Issuer's register of shareholders.

If a shareholder of Autogrill is entitled to a Share Consideration composed of a non-integral number of Dufry shares, the Depositary Intermediary or the Responsible Intermediary to which such Requesting Shareholder submitted its Request for Sale Concerning the Joint Procedure will indicate on the Request for Sale Concerning the Joint Procedure the fractional part of such non-integral number (any such fractional part, a "**Fractional Part**"). Each Responsible Intermediary, also on behalf of the Depositary Intermediaries that have delivered Requests for Sale Concerning the Joint Procedure (that do not provide for a request of Cash Alternative Consideration) to it, will inform the Intermediary Responsible for the Collection of Requests for Sale of the number of Dufry shares resulting from the aggregation of all the Fractional Parts delivered to such Responsible Intermediary.

Similarly, for those shareholders who have not submitted a Request for Sale Concerning the Joint Procedure and who are entitled to a Share Consideration consisting of a non-integral number of Dufry shares, the Fractional Parts will be aggregated and the Depositary Intermediaries will notify the Intermediary Responsible for Coordinating the Collection of Requests for Sale of the number of Dufry shares resulting from such aggregation.

The Intermediary Responsible for Coordinating the Collection of Requests for Sale, i.e. Unicredit Bank AG, Milan Branch, on behalf and in the name of the relevant shareholders and based on the communication received by each Responsible Intermediary or Depositary Intermediaries, will aggregate all of the Fractional Parts and sell the resulting integral number of newly issued Dufry shares on the Six Swiss Exchange at market conditions (including exchange rate). The cash proceeds of such sales (in Euro) will then be transferred to each Responsible Intermediary or Depositary Intermediaries that will distribute them to the relevant shareholders of Autogrill proportionally to their respective Fractional Parts (such cash amount

corresponding to the Fractional Part, the "**Cash Amount of the Fractional Part**"), as follows: within 10 Trading Days after the Settlement Date of the Joint Procedure, the Intermediary Responsible for the Collection of Requests for Sale will credit the proceeds of the sale (in Euro) to the relevant Depositary Intermediaries (through the Responsible Intermediaries, as far as the amounts to be paid to shareholders that have submitted a Request for Sale Concerning the Joint Procedure are concerned) proportionally to the Cash Amounts of the Fractional Part due to the relevant shareholders of Autogrill. The Depositary Intermediaries will, in turn, distribute and credit such proceeds to the relevant shareholders.

It should be noted that, as a consequence of the assignment of the Share Consideration, if a Requesting Shareholder submits a Request for Sale Concerning the Joint Procedure for a number of Autogrill shares lower than 7 (i.e. the minimum number of Autogrill shares that, when multiplied by 0.1583, allows to obtain at least 1 Dufry share), such shareholder will be entitled to receive only the Cash Amount of the Fractional Part. The same treatment will be reserved to the holders of lower than 7 Residual Shares for which no Requests for Sale Concerning the Joint Procedure will be submitted, in the event that they are entitled to receive the Share Consideration in the context of the Joint Procedure. No interest will be paid by the Offeror or any other person on the Cash Amount of the Fractional Part.

### *(v) Guarantees of full performance of the Joint Procedure*

The Offeror will issue up to 2,202,893 new Dufry shares to be delivered as Consideration for the Joint Procedure (assuming that all of the holders of Residual Shares submit Requests for Sale Concerning the Joint Procedure for all of their Autogrill shares without requesting the Cash Alternative Consideration), on or before the Settlement Date of the Joint Procedure, in execution of the Offer Capital Increase, as recognised and determined by Dufry's board of directors on March 30, 2023, out of the capital range lastly authorised by Dufry's ordinary shareholders' meeting held on May 8, 2023.

As a guarantee of full performance of the obligation of the Offeror to pay the Cash Alternative Consideration to the Requesting Shareholders that so requested in their Request for Sale Concerning the Joint Procedure, the Issuing Bank, i.e. Unicredit Bank AG, undertook, *inter alia*, to issue the guarantee for the exact fulfilment of the obligations relating to the Joint Procedure. Before the beginning of the Period for the Submission of the Requests for Sale Concerning the Joint Procedure, the Issuing Bank will issue the above-mentioned guarantee, for a total amount equal to the maximum amount of the Cash Alternative Consideration possibly payable by the Offeror as a result of the Joint Procedure (assuming that all the Requesting Shareholders submit Requests for Sale Concerning the Joint Procedure for all their Residual Shares opting for the Cash Alternative Consideration).

### *(vi) Delisting of Autogrill shares*

In accordance with Article 2.5.1, Paragraph 6, of the Stock Exchange Regulation, Borsa Italiana will order the delisting of the Autogrill shares from the Euronext Milan as from July 24, 2023 (the Settlement Date of the Joint Procedure), subject to suspension of the trading of Autogrill shares during the sessions of July 20 and 21, 2023.
