## **COMUNICATO AI SENSI DELL'ART. 36 DEL REGOLAMENTO ADOTTATO DALLA CONSOB CON DELIBERA N. 11971 DEL 14 MAGGIO 1999, COME SUCCESSIVAMENTE MODIFICATO E INTEGRATO (IL "REGOLAMENTO EMITTENTI") - RISULTATI PROVVISORI DELLA PROCEDURA CONGIUNTA PER L'ESERCIZIO DEL DIRITTO DI ACQUISTO AI SENSI DELL'ART. 111 DEL TUF E L'ADEMPIMENTO DELL'OBBLIGO DI ACQUISTO AI SENSI DELL'ART. 108, COMMA 1, DEL TUF IN RELAZIONE ALLE AZIONI RIMANENTI DI AUTOGRILL S.P.A.**

Con riferimento alla procedura congiunta per l'esercizio del diritto di acquisto ai sensi dell'art. 111 del Decreto Legislativo 24 febbraio 1998, n. 58, come successivamente modificato e integrato (il "**TUF**") e l'adempimento dell'obbligo di acquisto ai sensi dell'art. 108, comma 1, del TUF (la "**Procedura Congiunta**") avviata da Dufry AG ("**Dufry**" o l'"**Offerente**") in data 10 luglio 2023 in relazione alle 13.915.935 azioni ordinarie di Autogrill S.p.A. ("**Autogrill**" o l'"**Emittente**") in circolazione non detenute dall'Offerente (le "**Azioni Rimanenti**") a seguito della conclusione della procedura per l'adempimento dell'obbligo di acquisto ai sensi dell'Art. 108, comma 2, del TUF, l'Offerente rende noto che in data 17 luglio 2023 si è concluso il periodo, concordato con Borsa Italiana S.p.A. e CONSOB, nel corso del quale i titolari di Azioni Rimanenti hanno potuto esercitare la propria facoltà di scegliere la forma del Corrispettivo per la Procedura Congiunta ai sensi degli artt. 108, comma 5, e 111, comma 2, del TUF, ossia tra il Corrispettivo in Azioni e il Corrispettivo in Denaro (il "**Periodo di Presentazione delle Richieste di Vendita Relative alla Procedura Congiunta**").

I termini non definiti nel presente comunicato hanno il medesimo significato ad essi attribuito (i) nel comunicato stampa avente ad oggetto i risultati definitivi della procedura per l'adempimento dell'obbligo di acquisto ai sensi dell'art. 108, comma 2, del TUF nonché le modalità di svolgimento della Procedura Congiunta pubblicato in data 6 luglio 2023 e (ii) nel documento di offerta (il "**Documento di Offerta**"), approvato con delibera Consob n. 22661 del 5 aprile 2023 e pubblicato in data 11 aprile 2023, tra l'altro, sul sito internet dell'Offerente ([www.](http://www.dufry.com/)dufry.com) e sul sito *internet* dell'Offerente dedicato all'Offerta [\(www.opa-autogrill.com\)](http://www.opa-autogrill.com/).

## **Risultati provvisori della Procedura Congiunta**

Sulla base delle informazioni fornite da UniCredit Bank AG, Milan Branch, quale intermediario incaricato del coordinamento della Raccolta delle Richieste di Vendita Relative alla Procedura Congiunta, nell'ambito della Procedura Congiunta (incluso il Private Placement Statunitense per la Procedura Congiunta) durante il Periodo di Presentazione delle Richieste di Vendita Relative alla Procedura Congiunta sono state presentate Richieste di Vendita Relative alla Procedura Congiunta per complessive 8.923.417 Azioni Rimanenti, rappresentanti (i) il 2,3176% del capitale sociale dell'Emittente e (ii) il 64,1237% del totale delle Azioni Rimanenti.

Con riferimento alle 8.923.417 Azioni Rimanenti per le quali sono state presentate Richieste di Vendita Relative alla Procedura Congiunta (incluso il Private Placement Statunitense per la Procedura Congiunta):

- (i) il Corrispettivo in Azioni (ossia 0,1583 azioni Dufry quotate e negoziate sul Six Swiss Exchange per ciascuna Azione Rimanente), verrà corrisposto ai titolari di 8.760.500 Azioni Rimanenti, rappresentanti il 98,1743% delle Azioni Rimanenti per le quali sono state presentate Richieste di Vendita Relative alla Procedura Congiunta (incluso il Private Placement Statunitense per la Procedura Congiunta); e
- (ii) il Corrispettivo Alternativo in Denaro (ossia, Euro 6,33 per ciascuna Azione Rimanente) verrà corrisposto ai titolari di 162.917 Azioni Rimanenti, rappresentanti l'1,8257% delle Azioni Rimanenti per le quali sono state presentate Richieste di Vendita Relative alla Procedura Congiunta (incluso il Private Placement Statunitense per la Procedura Congiunta).

Ai titolari di Azioni Rimanenti che non hanno presentato una Richiesta di Vendita Relativa alla Procedura Congiunta sarà corrisposto esclusivamente il Corrispettivo in Azioni, con la sola eccezione di coloro i quali sono residenti nei Paesi Esclusi i quali riceveranno il Corrispettivo Alternativo in Denaro.

Il regolamento della Procedura Congiunta, consistente nel trasferimento all'Offerente della titolarità di tutte le Azioni Rimanenti (ivi incluse, per chiarezza, quelle che non siano state oggetto di alcuna Richiesta di Vendita Relativa alla Procedura Congiunta) e nel pagamento agli azionisti di Autogrill del Corrispettivo per la Procedura Congiunta sarà effettuato il quinto Giorno di Borsa Aperta successivo alla data di chiusura del Periodo di Presentazione delle Richieste di Vendita Relative alla Procedura Congiunta, vale a dire il 24 luglio 2023 (la "**Data di Esecuzione della Procedura Congiunta**"). Nel comunicato relativo ai risultati definitivi della Procedura Congiunta, che sarà pubblicato prima della Data di Esecuzione della Procedura Congiunta, l'Offerente fornirà, tra l'altro, indicazioni in merito alle modalità di messa a disposizione del Corrispettivo per la Procedura Congiunta a favore degli azionisti titolari di Azioni Rimanenti che non abbiano presentato una Richiesta di Vendita Relativa alla Procedura Congiunta.

Si ricorda, infine, che, con il provvedimento n. 8959 assunto in data 6 luglio 2023, Borsa Italiana S.p.A. ha disposto la revoca delle azioni dell'Emittente dalla quotazione sul Euronext Milan organizzato e gestito dalla stessa Borsa Italiana S.p.A. a decorrere dal 24 luglio 2023, previa sospensione del titolo nelle sedute del 20 e del 21 luglio 2023.

## **NOTICE PURSUANT TO ARTICLE 36 OF THE REGULATION ADOPTED BY CONSOB BY RESOLUTION NO. 11971 OF MAY 14, 1999, AS SUBSEQUENTLY INTEGRATED AND AMENDED (THE "ISSUERS' REGULATION") – PRELIMINARY RESULTS OF THE JOINT PROCEDURE FOR THE EXERCISE OF THE RIGHT TO PURCHASE PURSUANT TO ART. 111 OF THE CFA AND THE FULFILMENT OF THE OBLIGATION TO PURCHASE PURSUANT TO ART. 108, PAR. 1, OF THE CFA REGARDING THE RESIDUAL SHARES OF AUTOGRILL S.P.A.**

With reference to the joint procedure for the exercise of the right to purchase pursuant to Article 111 of Legislative Decree No. 58 of 24 February 1998, as subsequently amended (the "**CFA**") and the fulfilment of the obligation to purchase under Article 108, Paragraph 1, of the CFA (the "**Joint Procedure**") commenced by Dufry AG ("**Dufry**" or the "**Offeror**") on July 10, 2023 for the 13,915,935 outstanding ordinary shares of Autogrill S.p.A. ("**Autogrill**" or the "**Issuer**") not held by the Offeror (the "**Residual Shares**") following the completion of the procedure to comply with the obligation to purchase under Article 108, Paragraph 2, of the CFA, the Offeror announces that the period, agreed with CONSOB and Borsa Italiana S.p.A., during which the holders of the Residual Shares were able to exercise their right to choose the type of Consideration for the Joint Procedure pursuant to Article 108, Paragraph 5 and Article 111, Paragraph 2 of the CFA, namely between the Share Consideration and the Cash Alternative Consideration, ended on July 17, 2023 (the "**Period for the Submission of the Requests for Sale Concerning the Joint Procedure**").

All terms not defined in this press release shall have the same meaning given to them in (i) the press release concerning the final results of the procedure to comply with the obligation to purchase under Article 108, Paragraph 2, of the CFA and the terms of the Joint Procedure published by the Offeror on July 6, 2023 as well as (ii) the offer document, approved by Consob with resolution no. 22661 of April 5, 2023, and published on April 11, 2023 (the "**Offer Document**") among others, on the Offeror's website [\(www.dufry.com\)](http://www.dufry.com/) and on the dedicated website of Dufry [\(www.opa-autogrill.com\)](http://www.opa-autogrill.com/).

## **Preliminary results of the Joint Procedure**

Based on the information provided by UniCredit Bank AG, Milan Branch, in its capacity as intermediary responsible for coordinating the collection of the Requests for Sale Concerning the Joint Procedure, in the context of the Joint Procedure (including the Joint Procedure through the U.S. Private Placement) during the Period for the Submission of the Requests for Sale Concerning the Joint Procedure, Autogrill shareholders submitted Requests for Sale Concerning the Joint Procedure relating to 8,923,417 Residual Shares, representing (i) 2.3176% of the Issuer's share capital and (ii) 64.1237% of the total Residual Shares.

In connection with the 8,923,417 Residual Shares for which Requests for Sale Concerning the Joint Procedure were submitted in the context of the Joint Procedure (including the Joint Procedure through the U.S. Private Placement):

- (i) the Share Consideration (namely, 0.1583 newly-issued ordinary shares of Dufry admitted to trading on Six Swiss Exchange per each Residual Share) will be paid to the holders of 8,760,500 Residual Shares, representing 98.1743% of the Residual Shares for which Requests for Sale Concerning the Joint Procedure were submitted in the context of the Joint Procedure (including the Joint Procedure through the U.S. Private Placement); and
- (ii) the Cash Alternative Consideration (namely, Euro 6.33 per each Residual Share) will be paid to the holders of 162,917 Residual Shares, representing 1.8257% of the Residual Shares for which Requests for Sale Concerning the Joint Procedure were submitted in the context of the Joint Procedure (including the Joint Procedure through the U.S. Private Placement).

Holders of Residual Shares who did not submit a Request for Sale Concerning the Joint Procedure relating to such shares will receive solely the Share Consideration, with the sole exception of those resident in the Excluded Countries who will receive the Cash Alternative Consideration.

The settlement of the Joint Procedure, consisting in the transfer to the Offeror of title to all of the Residual Shares (including, for the sake of clarity, the shares for which no Request for Sale Concerning the Joint Procedure was submitted) and the payment to the shareholders of Autogrill of the Consideration for the Joint Procedure will occur on the fifth Trading Day following the end of the Period for the Submission of the Requests for Sale Concerning the Joint Procedure, *i.e.* on July 24, 2023 (the "**Settlement Date of the Joint Procedure**"). In the press release containing the final results of the Joint Procedure that will be published prior to the Settlement Date of the Joint Procedure, the Offeror will include, among other things, information concerning the delivery of the Consideration for the Joint Procedure to the holders of Residual Shares that did not submit a Request for Sale Concerning the Joint Procedure.

Finally, please note that by means of decision no. 8959 issued on July 6, 2023, Borsa Italiana S.p.A. ordered the delisting of the Issuer's shares from the Euronext Milan organized and managed by Borsa Italiana S.p.A. as from July 24, 2023, after suspending the trading of Autogrill shares during the sessions of July 20 and 21, 2023.
