**COMUNICATO AI SENSI DELL'ART. 36 DEL REGOLAMENTO ADOTTATO DALLA CONSOB CON DELIBERA N. 11971 DEL 14 MAGGIO 1999, COME SUCCESSIVAMENTE MODIFICATO E INTEGRATO (IL "REGOLAMENTO EMITTENTI") – REGOLAMENTO DELLA PROCEDURA CONGIUNTA PER L'ESERCIZIO DEL DIRITTO DI ACQUISTO AI SENSI DELL'ART. 111 DEL TUF E L'ADEMPIMENTO DELL'OBBLIGO DI ACQUISTO AI SENSI DELL'ART. 108, COMMA 1, DEL TUF IN RELAZIONE ALLE AZIONI RIMANENTI DI AUTOGRILL S.P.A.** 

# **REVOCA DALLA QUOTAZIONE SULL'EURONEXT MILAN DELLE AZIONI AUTOGRILL**

Dufry AG ("**Dufry**" o l'"**Offerente**") comunica che in data odierna è stato effettuato il regolamento della procedura congiunta per l'esercizio del diritto di acquisto ai sensi dell'articolo 111 del Decreto Legislativo 24 febbraio 1998, n. 58, come successivamente modificato (il "**TUF**") e l'adempimento dell'obbligo di acquisto ai sensi dell'articolo 108, comma 1, del TUF avviata dall'Offerente in data 10 luglio 2023 e conclusasi in data 17 luglio 2023 (la "**Procedura Congiunta**") per le 13.915.935 azioni ordinarie in circolazione di Autogrill S.p.A. ("**Autogrill**" o l'"**Emittente**") non detenute dall'Offerente, pari al 3,6142% del capitale sociale dell'Emittente (le "**Azioni Rimanenti**").

Si ricorda che la Procedura Congiunta si è svolta a seguito della conclusione (i) dell'offerta pubblica di scambio obbligatoria con corrispettivo alternativo in denaro promossa da Dufry sulle azioni ordinarie Autogrill ai sensi degli artt. 102 e 106, commi 1 e 2-bis del TUF (l'"**Offerta**"), (ii) della relativa riapertura del periodo di adesione nonché (iii) della successiva procedura di adempimento dell'obbligo di acquisto ai sensi dell'art. 108, comma 2, del TUF.

I termini non definiti nel presente comunicato hanno il medesimo significato ad essi attribuito (i) nel comunicato stampa avente ad oggetto i risultati definitivi della procedura per l'adempimento dell'obbligo di acquisto ai sensi dell'art. 108, comma 2, del TUF nonché le modalità di svolgimento della Procedura Congiunta pubblicato in data 6 luglio 2023 e (ii) nel documento di offerta (il "**Documento di Offerta**"), approvato con delibera Consob n. 22661 del 5 aprile 2023 e pubblicato in data 11 aprile 2023, tra l'altro, sul sito internet dell'Offerente (www.dufry.com) e sul sito internet di Dufry dedicato all'Offerta (www.opaautogrill.com).

# **Regolamento della Procedura Congiunta**

Come già indicato nel comunicato stampa relativo ai risultati definitivi della Procedura Congiunta pubblicato dall'Offerente in data 21 luglio 2023, in relazione alle 8.894.212 Azioni Rimanenti per le quali sono state presentate Richieste di Vendita Relative della Procedura Congiunta (incluso il Private Placement Statunitense per la Procedura Congiunta), i relativi titolari (gli "**Azionisti Richiedenti**") hanno richiesto:

- (i) per 8.731.295 Azioni Rimanenti, il Corrispettivo in Azioni (ossia 0,1583 azioni ordinarie di nuova emissione di Dufry quotate e negoziate sul Six Swiss Exchange per ciascuna Azione Rimanente); e
- (ii) per 162.917 Azioni Rimanenti, il Corrispettivo Alternativo in Denaro (ossia 6,33 Euro per ciascuna Azione Rimanente).

In relazione alle restanti 5.021.723 Azioni Rimanenti, con riferimento alle quali i relativi azionisti (gli "**Azionisti Non Richiedenti**") non hanno presentato alcuna Richiesta di Vendita Relativa alla Procedura Congiunta:

- (i) il Corrispettivo in Azioni è dovuto agli Azionisti Non Richiedenti che risultano residenti al di fuori dei Paesi Esclusi, per complessive 4.689.110 Azioni Rimanenti, rappresentanti il 93,3765% delle Azioni Rimanenti in relazione alle quali non è stata presentata alcuna Richiesta di Vendita Relativa alla Procedura Congiunta; e
- (ii) il Corrispettivo Alternativo in Denaro è dovuto agli Azionisti Non Richiedenti che risultano residenti nei Paesi Esclusi, per complessive 332.613 Azioni Rimanenti, rappresentanti il 6,6235% delle Azioni Rimanenti in relazione alle quali non è stata presentata alcuna Richiesta di Vendita Relativa alla Procedura Congiunta.

Al fine di consegnare il Corrispettivo in Azioni agli Azionisti Richiedenti nonché agli Azionisti Non Richiedenti, l'Offerente, in esecuzione dell'Aumento di Capitale a Servizio dell'Offerta, ha emesso 2.124.451 azioni Dufry, rappresentanti l'1,4114% del capitale sociale dell'Offerente a seguito di tale emissione, alla Data di Regolamento della Procedura Congiunta. A seguito di tale emissione, il capitale sociale sottoscritto e versato di Dufry è rappresentato da 150.522.138 azioni ordinarie. L'importo complessivo del Corrispettivo Alternativo in Denaro spettante agli Azionisti Richiedenti che ne abbiano fatto richiesta nelle loro Richieste di Vendita Relative alla Procedura Congiunta nonché agli Azionisti Non Richiedenti è pari a Euro 3.136.704,90.

Con riferimento alle 8.894.212 Azioni Rimanenti per le quali sono state presentate Richieste di Vendita Relative alla Procedura Congiunta, in data odierna l'Offerente ha acquisito tali azioni e provveduto al pagamento:

- (a) del Corrispettivo in Azioni spettante agli Azionisti Richiedenti, pari complessivamente a 1.382.164 azioni Dufry (tenendo conto anche delle azioni risultanti dall'aggregazione delle Parti Frazionarie spettanti agli Azionisti Richiedenti), mediante il trasferimento del relativo numero di azioni Dufry, per il tramite degli Intermediari Incaricati, sui conti titoli detenuti dagli Azionisti Richiedenti presso gli Intermediari Depositari (in conformità ai termini e secondo le modalità indicate nella Richiesta di Vendita Relativa alla Procedura Congiunta); e
- (b) del Corrispettivo Alternativo in Denaro spettante agli Azionisti Richiedenti che ne abbiano fatto richiesta, pari complessivamente a Euro 1.031.264,61, mediante accredito del relativo importo agli Intermediari Incaricati, che provvederanno a trasferire i fondi agli Intermediari Depositari, affinché questi ultimi a loro volta provvedano al trasferimento agli Azionisti Richiedenti in conformità alle istruzioni fornite dagli Azionisti Richiedenti stessi (o dai loro mandatari) nell'ambito delle Richieste di Vendita Relative alla Procedura Congiunta.

Con riferimento alle 5.021.723 Azioni Rimanenti per le quali non sono state presentate Richieste di Vendita Relative alla Procedura Congiunta, che sono state comunque acquistate dall'Offerente in forza dell'esercizio del diritto di acquisto di cui all'art. 111 del TUF, in data odierna:

- (i) l'Offerente ha comunicato ad Autogrill, tra l'altro, (a) di aver impartito istruzioni irrevocabili all'Intermediario Incaricato del Coordinamento della Raccolta delle Richieste di Vendita Relative della Procedura Congiunta affinché provveda a mettere a disposizione degli Azionisti Non Richiedenti a cui spetta il Corrispettivo in Azioni le relative azioni Dufry di nuova emissione, pari complessivamente a 742.287 azioni Dufry (tenendo conto anche delle azioni risultanti dall'aggregazione delle Parti Frazionarie spettanti agli Azionisti Non Richiedenti), tramite i relativi Intermediari Depositari, nonché ad aggregare e vendere eventuali Parti Frazionarie e successivamente accreditare il relativo Importo in Contanti della Parte Frazionaria agli Azionisti Non Richiedenti tramite i relativi Intermediari Depositari e (b) di aver depositato l'importo necessario per il pagamento del Corrispettivo Alternativo in Denaro agli Azionisti Non Richiedenti residenti nei Paesi Esclusi, pari complessivamente a Euro 2.105.440,29; e
- (ii) ai sensi e per gli effetti dell'articolo 111, comma 3, del TUF, dal momento in cui l'Offerente ha effettuato la suddetta comunicazione ad Autogrill, è divenuto efficace il trasferimento a favore dell'Offerente della titolarità di tutte le Azioni Rimanenti per le quali non è stata presentata alcuna Richiesta di Vendita Relativa della Procedura Congiunta e, pertanto, l'Emittente ha provveduto ad aggiornare il proprio libro soci.

Il Corrispettivo in Azioni spettante agli Azionisti Non Richiedenti è stato messo a disposizione di questi ultimi per il tramite dei rispettivi Intermediari Depositari. Al riguardo, per ottenere l'accredito delle azioni Dufry spettanti agli Azionisti Non Richiedenti loro clienti, tali Intermediari Depositari devono rivolgersi all'Intermediario Incaricato del Coordinamento delle Richieste di Vendita per il tramite della depositaria SGSS S.p.A.

Le eventuali Parti Frazionarie spettanti ai titolati di Azioni Rimanenti saranno aggregate e vendute dall'Intermediario Incaricato del Coordinamento della Raccolta delle Richieste di Vendita, e il conseguente Importo in Contanti della Parte Frazionaria sarà corrisposto ai relativi titolari di Azioni Rimanenti entro 10 Giorni di Borsa Aperta dalla Data di Regolamento della Procedura Congiunta, secondo le modalità descritte nel comunicato stampa pubblicato dall'Offerente in data 6 luglio 2023.

Per poter chiedere il pagamento del Corrispettivo per la Procedura Congiunta, i titolari di Azioni Rimanenti non dematerializzate dovranno presentare in originale i relativi certificati azionari a loro debitamente intestati presso la sede dell'Emittente; l'Emittente provvederà a verificare i suddetti certificati azionari e rilascerà agli interessati apposita certificazione con la quale gli stessi potranno richiedere il pagamento del Corrispettivo per la Procedura Congiunta. Decorso il termine di prescrizione quinquennale di cui all'art. 2949 del Codice Civile, e salvo quanto disposto dagli artt. 2941 e seguenti del Codice Civile, i titolari delle Azioni Rimanenti che non abbiano richiesto il pagamento perderanno il diritto di ottenere il pagamento del Corrispettivo per la Procedura Congiunta.

L'obbligo dell'Offerente di pagare il Corrispettivo per la Procedura Congiunta si riterrà adempiuto nel momento in cui sarà trasferito agli Intermediari Responsabili o agli Intermediari Depositari l'esatto numero di azioni Dufry e l'Importo in Contanti della Parte Frazionaria (se esistente), ovvero, nel caso in cui sia stato richiesto o sia dovuto il Corrispettivo Alternativo in Denaro, l'esatto ammontare del Corrispettivo Alternativo in Denaro. Resta ad esclusivo carico degli Azionisti Richiedenti e degli Azionisti Non Richiedenti il rischio che gli Intermediari Responsabili o gli Intermediari Depositari non trasferiscano loro le azioni Dufry o l'Importo in Contanti della Parte Frazionaria (se esistente) o il Corrispettivo Alternativo in Denaro loro dovuto, o ritardino tale trasferimento.

### **Delisting delle azioni Autogrill**

Si ricorda che, con il provvedimento n. 8959 assunto in data 6 luglio 2023, Borsa Italiana S.p.A. ha disposto la revoca delle azioni dell'Emittente dalla quotazione sul mercato Euronext Milan, organizzato e gestito da Borsa Italiana S.p.A., a partire da oggi, 24 luglio 2023, previa sospensione del titolo nelle sedute del 20 e del 21 luglio 2023.

# **DELISTING OF THE AUTOGRILL SHARES FROM THE EURONEXT MILAN**

Dufry AG ("**Dufry**" or the "**Offeror**") hereby announces that the settlement of the joint procedure for the exercise of the right to purchase pursuant to Article 111 of Legislative Decree No. 58 of 24 February 1998, as subsequently amended (the "**CFA**") and the fulfilment of the obligation to purchase pursuant to Article 108, Paragraph 1, of the CFA commenced by the Offeror on July 10, 2023 and ended on July 17, 2023 (the "**Joint Procedure**") for the 13,915,935 outstanding ordinary shares of Autogrill S.p.A. ("**Autogrill**" or the "**Issuer**") not held by the Offeror, equal to 3.6142% of the share capital of the Issuer (the "**Residual Shares**"), was completed today.

Please note that the Joint Procedure was carried out following the conclusion of (i) the mandatory public exchange offer with an alternative cash consideration launched by Dufry on the Autogrill ordinary shares pursuant to Articles 102 and 106, paragraph 1and 2-*bis* of the CFA (the "**Offer**"), (ii) the relevant reopening of the tender period and (iii) the following procedure to comply with the obligation to purchase under Article 108, Paragraph 2, of the CFA.

All terms not defined in this press release shall have the same meaning given to them in (i) the press release concerning the final results of the procedure to comply with the obligation to purchase under Article 108, Paragraph 2, of the CFA and the terms of the Joint Procedure published by the Offeror on July 6, 2023 as well as (ii) the offer document, approved by Consob with resolution no. 22661 of April 5, 2023, and published on April 11, 2023 (the "**Offer Document**") among others, on the Offeror's website [\(www.dufry.com\)](http://www.dufry.com/) and on the dedicated website of Dufry [\(www.opa-autogrill.com\)](http://www.opa-autogrill.com/).

## **Settlement of the Joint Procedure**

As already indicated in the press release on the final results of the Joint Procedure published by the Offeror on July 21, 2023, in connection with the 8,894,212 Residual Shares for which Requests for Sale Concerning the Joint Procedure were submitted in the context of the Joint Procedure (including the Joint Procedure through the U.S. Private Placement), the relevant shareholders (the "**Requesting Shareholders**") requested:

(i) for 8,731,295 Residual Shares, the Share Consideration (namely, 0.1583 newly-issued ordinary shares of Dufry admitted to trading on Six Swiss Exchange per each Residual Share); and

(ii) for 162,917 Residual Shares, the Cash Alternative Consideration (namely, Euro 6.33 per each Residual Share).

For the remaining 5,021,723 Residual Shares, in relation to which the relevant shareholders (the "**Non-Requesting Shareholders**") did not submit any Requests for Sale Concerning the Joint Procedure:

- (i) the Share Consideration is due to Non-Requesting Shareholders that result to be resident outside the Excluded Countries, for an aggregate number of 4,689,110 Residual Shares, representing 93.3765% of the Residual Shares in relation to which no Request for Sale Concerning the Joint Procedure was submitted; and
- (ii) the Cash Alternative Consideration is due to Non-Requesting Shareholders that result to be resident in the Excluded Countries, for an aggregate number of 332,613 Residual Shares, representing 6.6235% of the Residual Shares in relation to which no Request for Sale Concerning the Joint Procedure was submitted.

In order to deliver the Share Consideration to the Requesting Shareholders as well as to the Non-Requesting Shareholders, the Offeror, in execution of the Offer Capital Increase, issued 2,124,451 Dufry shares, representing 1.4114% of the share capital of the Offeror following such issuance, as of the Settlement Date of the Joint Procedure. Following such issuance, the subscribed and paid-up share capital of Dufry is represented by 150,522,138 ordinary shares. The aggregate amount of the Cash Alternative Consideration due to the Requesting Shareholders that so requested in their Requests for Sale Concerning the Joint Procedure as well as to Non-Requesting Shareholders is equal to Euro 3,136,704.90.

With respect to the 8,894,212 Residual Shares for which Requests for Sale Concerning the Joint Procedure were submitted, on the date hereof the Offeror acquired such shares and paid:

- (a) the Share Consideration due to the Requesting Shareholders, amounting in the aggregate to 1,382,164 Dufry shares (taking into account also the shares resulting from the aggregation of the Fractional Parts due to the Requesting Shareholders), through the transfer of the relevant number of Dufry shares, through the Responsible Intermediaries, to the securities accounts held by the Requesting Shareholders at the Depositary Intermediaries (in compliance with the terms and pursuant to the procedures set forth in the Request for Sale Concerning the Joint Procedure);
- (b) the Cash Alternative Consideration due to the Requesting Shareholders that so requested, amounting in the aggregate to Euro 1,031,264.61, through the transfer of the relevant amount to the Responsible Intermediaries, which shall transfer the funds to the Depositary Intermediaries, which shall in turn credit such funds to the Requesting Shareholders in accordance with the instructions issued by the Requesting Shareholders themselves (or their representatives) in the Requests for Sale Concerning the Joint Procedure.

As for the 5,021,723 Residual Shares for which no Requests for Sale Concerning the Joint Procedure were submitted, which nonetheless were acquired by the Offeror as a result of the exercise of the right to purchase pursuant to Article 111 of the CFA, on the date hereof:

(i) the Offeror notified Autogrill, among others, that (a) irrevocable instructions were given to the Intermediary Responsible for Coordinating the Collection of Requests for Sale Concerning the Joint Procedure to make available the relevant newly-issued Dufry shares to the Non-Requesting Shareholders entitled to receive the Share Consideration, amounting in the aggregate to 742,287

Dufry shares (taking into account also the shares resulting from the aggregation of the Fractional Parts due to the Non-Requesting Shareholders), through the relevant Depositary Intermediaries, as well as to aggregate and sell any Fractional Part and subsequently credit the relevant Cash Amount of the Fractional Part to the Non-Requesting Shareholders through the relevant Depositary Intermediaries and (b) it has deposited the amount necessary for the payment of the Cash Alternative Consideration to the Non-Requesting Shareholders that are resident in the Excluded Countries, amounting in the aggregate to Euro 2,105,440.29; and

(ii) pursuant to Article 111, Paragraph 3, of the CFA, from the moment the Offeror made the above notification to Autogrill, the transfer of title to the Offeror of all the Residual Shares for which no Request for Sale Concerning the Joint Procedure was submitted became effective, and the Issuer thus updated its shareholders' register accordingly.

The Share Consideration due to the Non-Requesting Shareholders has been made available to the Non-Requesting Shareholders through the Depositary Intermediaries. In order to receive transfer of the Dufry shares due to the Non-Requesting Shareholders that are their respective clients, such Depositary Intermediaries must submit a request to the Intermediary Responsible for Coordinating the Collection of Requests for Sale Concerning the Joint Procedure through the depositary SGSS S.p.A.

Any Fractional Parts due to the holders of Residual Shares will be aggregated and sold by the Intermediary Responsible for Coordinating the Collection of Requests for Sale Concerning the Joint Procedure and the resulting Cash Amount of Fractional Part will subsequently be distributed to the relevant holders of Residual Shares within 10 trading days of the settlement date of the Joint Procedure, in compliance with the terms described in the press release published by the Offeror on July 6, 2023.

In order to obtain the payment of the Consideration for the Joint Procedure, holders of non-dematerialized Residual Shares must present the original share certificates duly registered in their name at the Issuer's registered office; the Issuer shall verify the share certificates and issue a certificate to the benefit of such holders with which the latter can obtain the payment of the consideration for the Joint Procedure. After the expiration of the five-year statutes of limitation set forth under Article 2949 of the Italian Civil Code, and subject to the provisions of Articles 2941 *et seq*. of the Italian Civil Code, the owners of the Residual Shares who have not requested payment shall lose the right to obtain payment of the Consideration for the Joint Procedure.

The obligation of the Offeror to pay the Consideration for the Joint Procedure will be deemed fulfilled when the exact number of Dufry shares and the Cash Amount of the Fractional Part (if any), or, if the Cash Alternative Consideration was requested or due, the exact amount of the Cash Alternative Consideration will be transferred to the Responsible Intermediaries or the Depositary Intermediaries, as the case may be. The Requesting Shareholders and the Non-Requesting Shareholders will bear the risk that the Responsible Intermediaries or the Depositary Intermediaries will not transfer them the Dufry shares or the Cash Amount of the Fractional Part (if any) or the Cash Alternative Consideration due to them, or delay such transfer.

## **Delisting of Autogrill shares**

The Offeror reiterates that, by means of decision no. 8959 issued on July 6, 2023, Borsa Italiana S.p.A. ordered the delisting of the Issuer's shares from the Euronext Milan organized and managed by Borsa Italiana S.p.A. as from today, July 24, 2023, after suspension of trading of the Autogrill shares on July 20 and 21, 2023.
