UNIDATA: RESIGNATION OF A DIRECTOR AND A STANDING AUDITOR

Rome, 4 October 2023 – Unidata S.p.A. (UD.MI) (the "Company"), telecommunications, cloud and IoT services operator, listed on the Euronext Milan market – STAR Segment, organized and managed by Borsa Italiana S.p.A., announces that it has received the resignation, with immediate effect, of the Dr. Michela Colli, member of the Company's Board of Directors, and of the effective Mayor Dr. Luca Damiani.

The Company expresses unanimous thanks for the work carried out by Dr. Colli and Dr. Damiani during the course of the mandate.

Pursuant to article IA.2.6.7 of the Instructions to the Regulations of the markets organized and managed by Borsa Italiana S.p.A., it is specified that the resignation of Dr. Colli is attributable to the impossibility of providing an effective and positive contribution to the integration of the TWT Group and the growth of Unidata- based on the information made available to the Company - as of today, Michela Colli: (i) was not qualified as an independent director pursuant to the legislative and regulatory framework in force, nor was the recipient of delegations; (ii) was not a member of the committees established within the Board of Directors and (iii) She is the owner, through the subsidiary Upperhand S.r.l., of no. 190,476 Unidata shares. There are no indemnities or other benefits due to the same following termination of office.

Pursuant to article IA.2.6.7 of the Instructions to the Regulations of the markets organized and managed by Borsa Italiana S.p.A., the resignation of Dr. is hereby specified. Damiani are attributable to the incompatibility between the timing of execution of board and internal board work and the planning of his professional activity and that - on the basis of the information made available to the Company - to date Dr. Luca Damiani does not hold Unidata shares.

In application of the art. 2401 c.c. the alternate mayor Dr. takes over as effective auditor. Luigi Rizzi, whose CV is available on the Company's website at www.unidata.it in the "Governance" section. Based on the information available to the Company, Dr. Luigi Rizzi does not hold Unidata shares.
