THE BOARD OF DIRECTORS OF UNIDATA RESOLVED THE MERGER PROJECT FOR INCORPORATION OF THE TWT GROUP INTO UNIDATA

THE MERGER WILL ALLOW THE SIMPLIFICATION OF THE GROUP'S MANAGEMENT AND CORPORATE STRUCTURES, ALSO WITH BENEFITS IN TERMS OF EFFICIENCY

Roma, 16 October 2023 – Unidata S.p.A. (UD.MI), operator of telecommunications, cloud and IoT services, listed on the Euronext Milan market - STAR segment, organized and managed by Borsa Italiana S.p.A. (the "Company" or "Unidata"), following the press release of last 4 October, announces that on today's date the Board of Directors met in a notarial session in order to approve the merger by incorporation into Unidata, as the incorporating company, of the following companies wholly controlled, directly or indirectly , by the same: UNITWT S.p.A., Berenix S.r.l. and TWT S.p.A.. On today's date the merger was also approved by the Shareholders' meetings of the Merged Companies.

A final step, this of the merger, which we wanted to make happen in the shortest possible time, to demonstrate our aptitude for rationalization in terms of management and cost saving and to present ourselves on the national market with a well-defined corporate identity, thanks to the contribution of the specific and complementary expertise of Unidata and TWT" – states the Chairman and CEO Renato Brunetti.

The Merger will be implemented after the expiration of the terms for any opposition from the company creditors provided for pursuant to art. 2503 of the Civil Code, through the stipulation of the relevant merger deed in a notarial session, with which the share representing 100% of the share capital of the Merged Companies will be cancelled, without replacement. The signing of the Merger deed is conditional on the fulfilment of the suspensive conditions represented by the expiry of the terms for any opposition from the company's creditors provided for pursuant to art. 2503 of the Civil Code as well as the issuing of the authorization pursuant to the Golden Power legislation for intragroup operations.
