ORDINARY SHAREHOLDERS' MEETING OF 3 JUNE 2022 IN A SINGLE CALL

Reports of the Board of Directors on the proposals concerning the items on the agenda of the Shareholders' Meeting

Point 1 "Approval of the financial statements of ENAV S.p.A. as at 31 December 2021, including the reports of the Board of Directors, the Board of Statutory Auditors and of the Independent Auditors. Presentation of the consolidated financial statements as at 31 December 2021."

Shareholders,

on April, the 21st 2022 the Board of Directors approved the financial statements for 2021 of ENAV S.p.A., which close with a profit of € 61,588,435, and the consolidated financial statements, which close with a profit of € 78,030,375, in the European Single Electronic Reporting Format – so called ESEF format - provided for by the Delegated Regulation (EU) 2019/815 of the European Commission of 17 December 2018.

The above documents are illustrated in the "Annual Financial Report 2021" of ENAV, which includes the draft financial statements for the year, the consolidated financial statements with the relevant certifications pursuant to art. 154-bis paragraph 5 of Legislative Decree no. 58/1998, Reports of the Board of Directors, of the Board of Statutory Auditors and of the Independent Auditor, filed at the Company's registered office and published on the Company's website.

Shareholders,

you are invited to approve the financial statements as at 31 December 2021 of ENAV S.p.A., which close with a profit of € 61,588,435, and to note the results reported in the consolidated financial statements as at 31 December 2021, which close with a consolidated profit of € 78,030,375.
