INFORMATION NOTICE

REGARDING A DECISION OF AB KLAIPĖDOS NAFTA TO GIVE A GUARANTEE(S) FOR THE INDIRECTLY CONTROLLED SUBSIDIARY KN AÇU SERVIÇOS DE TERMINAL DE GNL LTDA.

As it was announced on 3 February 2020 AB Klaipėdos nafta (hereinafter – KN), KN Açu Serviços de Terminal de GNL Ltda. (hereinafter – the Brazilian SPV) and UTE GNA I GERAÇÃO DE ENERGIA S.A. (hereinafter – GNA1) signed an Operation and Maintenance Services Agreement (hereinafter – the Agreement) for the provision of operations and maintenance services in connection with GNA1's liquefied natural gas terminal, located at the Port of Açu in the state of Rio de Janeiro (hereinafter – the LNG Terminal), one of the main port complexes in Brazil, which offers a series of logistics solutions for the Brazilian oil and gas market. KN was appointed as an operator of the LNG Terminal to provide safe, reliable and efficient operations, including maintenance of the jetty and its installations, gas pipeline and gas metering stations as well as supporting the commissioning of the LNG Terminal (https://view.news.eu.nasdaq.com/view?id=bd9fd2c1da712825a6035431a823ae415 &lang=en).

As the Agreement was assigned from KN to the Brazilian SPV, the latter has been continuing providing services to GNA1. The initial term of the Agreement is for at least 13-year operational period following the start of commercial operations of the LNG Terminal. It should also be recalled that on 31 October 2019 the Extraordinary General Meeting of Shareholders of KN approved a decision of the Board to give a guarantee or guarantees of KN to GNA1 for the obligations of the Brazilian SPV (https://view.news.eu.nasdaq.com/view?id=b80458c7caa01180061b7d3b18babd6da &lang=en).

GNA1 is the owner of the LNG Terminal and the first thermal power plant (hereinafter – TPP) which receives gas from the LNG Terminal. GNA1's shareholders are Prumo Logística, Siemens, BP and SPIC Brasil. Since completion of the first TPP, Siemens, BP and SPIC Brasil are working on the next project to construct the second TPP and connect it to the LNG terminal. For that purpose UTE GNA II GERAÇÃO DE ENERGIA S.A. (hereinafter – GNA2) was established, which is the owner of the second TPP.

Although GNA1 TPP and the future GNA2 TPP are two different projects, they will share some facilities within the LNG Terminal area and, for this purpose, GNA2 should accede to all project agreements as an independent party in relation to the LNG

INFORMACINIS PRANEŠIMAS

DĖL AB KLAIPĖDOS NAFTA SPRENDIMO SUTEIKTI GARANTIJĄ(S) UŽ NETIESIOGIAI KONTROLIUOJAMĄ DUKTERINĘ BENDROVĘ KN AÇU SERVIÇOS DE TERMINAL DE GNL LTDA.

2020 m. vasario 3 d. AB Klaipėdos nafta (toliau – KN) skelbė, kad KN, KN Açu Serviços de Terminal de GNL Ltda. (toliau – Brazilijos SPV) ir UTE GNA I GERAÇÃO DE ENERGIA S.A. (toliau – GNA1) pasirašė Terminalo operatoriaus paslaugų teikimo sutartį (toliau – Sutartis) dėl terminalo operatoriaus ir priežiūros paslaugų teikimo GNA1 suskystintųjų gamtinių dujų terminalui, esančiam Açu uoste, Rio de Žaneiro valstijoje (toliau – SGD Terminalas), viename iš pagrindinių Brazilijos uostų kompleksų, siūlančiame logistikos sprendimus Brazilijos naftos ir dujų rinkai. KN buvo paskirta SGD Terminalo operatoriumi, užtikrinti saugias, patikimas bei efektyvias operacijas, įskaitant prieplaukos ir jos įrenginių, dujotiekio ir dujų apskaitos stočių priežiūrą, taip pat prisidėti prie SGD Terminalo paleidimo (https://view.news.eu.nasdaq.com/view?id=bd9fd2c1da712825a6035431a823ae415 &lang=lt).

Kadangi KN perleido Sutartį Brazilijos SPV, pastaroji ir toliau tęsia paslaugų teikimą GNA1. Pradinis Sutarties terminas yra bent 13-kos metų veiklos laikotarpiui nuo SGD Terminalo komercinės eksploatacijos pradžios. Primintina, kad 2019 m. spalio 31 d. KN neeilinis visuotinis akcininkų susirinkimas patvirtino KN Valdybos sprendimą suteikti KN garantiją ar garantijas GNA1 už Brazilijos SPV įsipareigojimus. GNA1 yra SGD Terminalo ir pirmosios šiluminės elektrinės (toliau – Elektrinė) savininkė. Pirmoji Elektrinė gauna dujas iš SGD Terminalo. GNA1 akcininkai yra Prumo Logística, Siemens, BP ir SPIC Brasil. Nuo pirmosios Elektrinės statybų užbaigimo Siemens, BP ir SPIC Brasil tęsia darbus ties kitu projektu, kuriuo siekia pastatyti antrąją Elektrinę ir prijungti ją prie SGD Terminalo. Dėl šios priežasties buvo įsteigta UTE GNA II GERAÇÃO DE ENERGIA S.A. (toliau – GNA2), kuri yra antrosios Elektrinės savininkė.

Nors GNA1 Elektrinė ir būsimoji GNA2 Elektrinė yra du skirtingi projektai, tačiau, atsižvelgiant į tai, kad jie turės dalintis tam tikrais įrenginiais, esančiais SGD Terminalo teritorijoje, siekiant pasidalinti susijusias rizikas ir išlaidas, GNA2 turi prisijungti kaip nepriklausoma šalis prie visų projekto susitarimų, susijusių su SGD

Since GNA2 enters into the Agreement, KN's guarantees shall be reissued or amended by KN to be in favour of both GNA1 and GNA2. However, the total aggregate amount of such guarantees shall remain the same, not exceeding EUR 5 900 000 as established in the Agreement (without regard to possible foreign exchange fluctuations).	Kadangi GNA2 pasirašys Sutartį, KN turi pakeisti arba išduoti naujas garantijas, kad šios būtų suteikiamos tiek GNA1, tiek GNA2 naudai. Vis dėlto, bendra tokių garantijų suma turi išlikti tokia pati, kaip nustatyta Sutartyje, neviršijanti 5 900 000 EUR (neatsižvelgiant į galimus valiutų kursų svyravimus).

Therefore, KN's Board convenes the Extraordinary General Meeting of Shareholders of KN regarding the approval of its decision to give KN's guarantee(s) to GNA1, GNA2 and/or their legal successors, subsidiaries, affiliates, lenders for the obligations of the Brazilian SPV under the Agreement.	Atsižvelgiant į tai, KN Valdyba šaukia KN neeilinį visuotinį akcininkų susirinkimą dėl KN Valdybos sprendimo suteikti KN garantiją(s) GNA1, GNA2 ir/ar jų teisių perėmėjams, dukterinėms įmonėms, susijusioms įmonėms ir paskolos davėjams už Brazilijos SPV prievoles pagal Sutartį.
