LINDBERGH S.P.A.: CLOSING DELL' ACQUISIZIONE DEL 55% DELLE QUOTE DI CLIMAN SRL E IDRO CALOR SRL

L'operazione dà ulteriore slancio alla strategia del Gruppo volta a costruire la prima realtà industriale italiana in grado di erogare servizi di assistenza tecnica nel setore della termoidraulica su tuto il territorio nazionale

Pescarolo ed Uniti (CR), 27 settembre 2023 - Lindbergh S.p.A. (EGM:LDB), Gruppo a�vo in Italia e Francia nel setore MRO (Maintenance, Repair and Opera�ons) per l'offerta di servizi di logis�ca per le re� di assistenza tecnica e nel setore Waste management/circular economy, comunica che in data odierna è avvenuto il closing dell'operazione di acquisizione del 55% delle quote di Climan Srl e Idro Calor Srl. L'operazione è stata conclusa dalla controllata SMIT Srl (Società Manutenzione Impian� Tecnologici), di cui Lindbergh de�ene il 77,5% delle quote.

Questa operazione si inserisce nella linea strategica del Gruppo volta a costituire la prima realtà industriale italiana in grado di erogare servizi di assistenza tecnica nel settore della termoidraulica, su tutto il territorio nazionale. L'operazione segue la recente acquisizione del 100% della Gatti Ermanno Srl (cfr. comunicato stampa in data 31 luglio 2023) di Corridonia (MC) e consente a SMIT Srl di incrementare ulteriormente il proprio network di tecnici.

Con sede a Parma, entrambe le società appartengono allo stesso socio di maggioranza, Dilda Gian Luca, e sono a�ve nella riparazione, manutenzione, assistenza e installazione di impian� termoidraulici, caldaie, impian� di condizionamento e clima�zzazione, nonché di purificazione dell'acqua. Climan Srl e Idro Calor Srl operano atraverso una rete direta, rispe�vamente di 7 e 8 tecnici. Alla data odierna, con queste acquisizioni, SMIT Srl controlla un network di 27 tecnici.

Climan Srl ha realizzato nel 2022 un faturato pari a Euro 689.000 e un EBITDA (IAS/IFRS) pari a Euro 42.000 (il faturato medio annuo degli ul�mi 3 anni è pari a Euro 640.000, l'EBITDA medio annuo (IAS/IFRS) degli ul�mi 3 anni è pari a Euro 70.000).

Idro Calor Srl ha realizzato nel 2022 un faturato pari a Euro 808.000 e un EBITDA (IAS/IFRS) pari a Euro 93.007 (il faturato medio annuo degli ul�mi 3 anni è pari a Euro 800.000, l'EBITDA medio annuo (IAS/IFRS) degli ul�mi 3 anni è pari a circa Euro 80.000).

Mateo Vaccari, Amministratore di SMIT Srl, dichiara: "Con queste due nuove acquisizioni controlliamo direttamente una trentina di tecnici. Confermiamo il nostro obiettivo di arrivare a 100 tecnici entro due anni. Già dai prossimi mesi tutti i tecnici utilizzeranno la medesima piattaforma IT per pianificare e gestire le attività di manutenzione, inoltre ottimizzeremo velocemente tutti i magazzini gestendo le scorte di ricambi a livello centrale, con notevoli vantaggi economici e operativi. Attiveremo i servizi erogati da Lindbergh su tutta la rete per recuperare efficacia ed efficienza operativa. L'obiettivo è anche quello di diventare sempre più attrattivi per nuovi tecnici che vogliono unirsi alla nostra organizzazione".

Detagli dell'operazione

In data odierna, SMIT Srl ha acquisito il 55% del capitale sociale di Climan Srl dal socio di maggioranza, per un valore di Euro 96.250.

SMIT ha acquisito inoltre il 55% del capitale sociale di Idro Calor Srl dal socio di maggioranza, per un valore sempre pari ad Euro 96.250.

Le somme dovute verranno corrisposte per un ammontare pari a Euro 60.000 al closing (in data odierna), mentre la restante quota pari a Euro 132.500 verrà corrisposta in 4 rate da Euro 33.125 l'una con scadenza gennaio 2024, luglio 2024, gennaio 2025, luglio 2025.

L'accordo prevede anche un'opzione a favore di SMIT Srl, esercitabile entro il 31/12/2025, per l'ulteriore acquisizione delle quote in possesso di Gian Luca Dilda, pari al 35% del capitale sociale di Idro Calor Srl e pari al 25% di Climan Srl. Il prezzo totale delle due cessioni è sin da ora convenuto complessivamente nella somma di Euro 105.000 suddiviso nel modo seguente:

• 1) Euro 43.750 per la cessione della restante quota della società Climan Srl, pari al 25% del suo Capitale Sociale
• 2) Euro 61.250 per la cessione della restante quota della società Idro Calor Srl, pari al 35% del suo Capitale Sociale

L'amministratore Unico delle due società resterà per il momento Gian Luca Dilda, fondatore e socio di riferimento di entrambe.

Si segnala che l'Operazione non è da considerarsi significa�va ai sensi dell'art. 12 del Regolamento Emiten� Euronext Growth Milan.

ACQUISITION OF 55% OF THE SHARES IN CLIMAN SRL AND IDRO CALOR SRL FINALISED

The operation gives a further boost to the Group's strategy to become the top Italian industrial business delivering technical assistance in the plumbing and heating sector throughout Italy

Pescarolo ed Uniti (CR), 27 September 2023 - Lindbergh S.p.A. (EGM:LDB), the Group operating in Italy and France in the MRO (Maintenance, Repair and Operations) sector, providing logistics services to technical assistance networks in the Waste management/circular economy sector, today announced that the acquisition of 55% of the shares in Climan Srl and Idro Calor Srl has been finalised. The operation was completed by the subsidiary SMIT Srl (Società Manutenzione Impianti Tecnologici), in which Lindbergh holds 77,5% of the shares.

The operation is part of the strategic vision of the Group, which aims to become the top Italian industrial business delivering technical assistance in the plumbing and heating sector throughout the country. The operation follows the recent acquisition of 100% of Gatti Ermanno Srl (see press release of 31 July 2023) in Corridonia (MC), allowing SMIT Srl to further develop its network of technicians.

With headquarters in Parma, both companies belong to the same majority shareholder, Dilda Gian Luca, and work in the repair, maintenance, assistance and installation of plumbing and heating systems, boilers, HVAC and water purification systems. Climan Srl and Idro Calor Srl operate through a direct network, respectively with 7 and 8 technicians. With these acquisitions, today SMIT Srl controls a network of 27 technicians.

In 2022, Climan Srl recorded a turnover of €689,000 and an EBITDA (IAS/IFRS) of €42,000 (the average annual turnover for the last 3 years was €640,000, the average annual EBITDA (IAS/IFRS) for the last 3 years was €70,000).

In 2022, Idro Calor Srl recorded a turnover of €808,000 and an EBITDA (IAS/IFRS) of €93,007 (the average annual turnover for the last 3 years was €800,000, the average annual EBITDA (IAS/IFRS) for the last 3 years was approximately €80,000).

Matteo Vaccari, Director of SMIT Srl, stated: "With these two new acquisitions, we now directly control around thirty technicians. We confirm our target of 100 technicians in the next two years. In the coming months, all the technicians will be using the same IT platform to plan and manage their maintenance activities, and we will also be rapidly optimising all the warehouses, managing spare parts stocks centrally, with significant economic and operational advantages. We will be launching the services provided by Lindbergh throughout the network, to recover operational efficiency and effectiveness. We also want to become increasingly attractive for new technicians who would like to join our organisation."

Details of the operation

Today, SMIT Srl acquired 55% of the share capital in Climan Srl from the majority shareholder, for a value of €96,250.

SMIT has also acquired 55% of the share capital in Idro Calor Srl from the majority shareholder, again for a value of €96,250.

The amounts due will be paid, for a total of €60,000 on finalisation (today), while the remaining €132,500 will be paid in 4 instalments of €33,125 each, in January 2024, July 2024, January 2025 and July 2025.

The agreement also includes an option for SMIT Srl, which may be exercised by 31/12/2025, for a further acquisition of the shares held by Gian Luca Dilda, equal to 35% of the share capital of Idro Calor Srl and 25% of Climan Srl. The price of these two acquisitions has been agreed for a total of €105,000, divided as follows:

• 1) €43,750 for the remaining shares in Climan Srl, equal to 25% of its share capital
• 2) €61,250 for the remaining shares in Idro Calor Srl, equal to 35% of its share capital

Gian Luca Dilda, founder and main shareholder of both companies, will remain the sole director for the time being.

It is reported that the operation is not considered relevant pursuant to Article 12 of the Euronext Growth Milan Issuers' Regulation.
