BANCA SISTEMA: ASSEMBLEA DEL 24 APRILE 2024 PROPOSTA DELL'AZIONISTA SOCIETA' DI GESTIONE DELLE PARTECIPAZIONI IN BANCA SISTEMA S.R.L.

In relazione all'assemblea ordinaria degli azionisti convocata per il 24 aprile 2024, si informa che è pervenuta in data odierna la proposta dell'azionista Società di Gestione delle partecipazioni in Banca Sistema S.r.l. ("SGBS"), titolare del 23,10% del capitale sociale e del 22,53% del capitale votante,

• relativa al punto 3.3) all'ordine del giorno (Nomina del Consiglio di Amministrazione previa determinazione del numero dei componenti. Deliberazioni inerenti - Determinazione della durata in carica.)
• relativa al punto 4) all'ordine del giorno (Determinazione del compenso spettante ai componenti del Consiglio di Amministrazione, dei Comitati Endoconsiliari e di altri organi presenti all'interno della Società. Deliberazioni inerenti e conseguenti.).

With reference to the ordinary shareholders meeting, called for 24 April 2024, we inform that the Bank received a proposal submitted by Società di Gestione delle partecipazioni in Banca Sistema S.r.l. ("SGBS S.r.l."), holder of 23.10% of ordinary shares and 22.53% of voting rights,

• relative to item 3.3) of the agenda (Appointment of the Board of Directors after determining the number of members. Relating and resulting resolutions - Determination of the term of office).
• relative to item 4) of the agenda (Determination of the remuneration due to members of the Board of Directors, Board Committees and other bodies established within the Company. Relating and resulting resolutions.).

The proposal remains available at the Company's head office and on Banca Sistema's website www.bancasistema.it (Section Investors/ Governance/ Shareholders' Meeting/ 2024/ 24 April 2024).
