Notification of a change in voting rights under chapter 9, section 10 of the Finnish Securities Market Act; an agreement on vote pooling concerning holdings in Stockmann

STOCKMANN plc, Major shareholders announcements 11.1.2023 at 22.30 EET Stockmann Oyj Abp ("Stockmann") has on 11 January 2023 received a notification pursuant to Chapter 9, Section 5 of the Finnish Securities Markets Act from Konstsamfundet r.f. ("Konstsamfundet") According to the notification, the total number of votes held by Konstsamfundet has exceeded the 15 per cent threshold on 11 January 2023. According to the notification, Konstsamfundet and JC Switzerland Holding AG ("JC") have entered into an agreement on vote pooling concerning their holdings in Stockmann Oyj Abp. Pursuant to the agreement, Konstsamfundet and JC and their respective affiliates shall exercise the voting and governance rights conferred by the shares in Stockmann Oyj Abp held by each of them only as jointly agreed between Konstsamfundet and JC. Therefore, in notifications of major holdings, Konstsamfundet and JC shall each include the aggregate number of voting rights conferred by the shares held by either of them. Konstsamfundet holds 15 101 147 shares in addition to which its wholly-owned subsidiary Mercator Media Ab holds 1 053 951 shares. In addition, by virtue of the vote pooling agreement, Konstsamfundet has the power to direct the use of an additional 7 818 466 voting rights together with JC.
