algoWatt: il Consiglio di Amministrazione delibera di depositare un ricorso per la liquidazione giudiziale della Società

Il Consiglio di Amministrazione di algoWatt, GreenTech Company quotata sul mercato Euronext Milan di Borsa Italiana, riunitosi in data odierna con la presidenza di Stefano Neri e alla presenza del notaio Francesco Giovanni Sapia, ha deliberato di depositare di un ricorso per l'apertura della liquidazione giudiziale della società ai sensi degli artt. 37, 39 e all'art. 40 e s.s. e 121 e s.s. CCII, dando mandato al Presidente del Consiglio di Amministrazione di sottoscrivere e presentare presso il Tribunale di Milano tale ricorso, comprensivo dei relativi allegati.

Il CDA ha deliberato, inoltre, di dare mandato al Presidente del Consiglio di Amministrazione di rappresentare la Società in tutti gli incombenti previsti dal CCII ai fini del deposito del ricorso e della relativa documentazione, con tutti gli inerenti e conseguenti poteri.

algoWatt informa che tali delibere sono state assunte non essendosi sostanziata in una offerta vincolante la proposta di investimento da parte di un soggetto terzo industriale, che aveva manifestato interesse all'operazione, come comunicato in data 4 maggio 2024. In ragione di tale circostanza, il professionista indipendente nominato ai sensi dell'art. 87 comma 3 e dell'art. 284 commi 1 e 5, CCII, ha ritenuto di considerare il piano non asseverabile e conseguentemente non omologabile. Pertanto, entro il termine prescritto dal Tribunale di Milano, non è stata depositata né una proposta definitiva di concordato preventivo né una domanda di omologa di accordi di ristrutturazione dei debiti.

Il CDA, di conseguenza, ha ritenuto opportuno - ricorrendone i presupposti di legge e non essendo più la società in grado di soddisfare regolarmente le proprie obbligazioni - depositare il sopra citato ricorso ai sensi degli artt. 37, 39 e 40 CCII, avente ad oggetto la richiesta in proprio di apertura della liquidazione giudiziale della Società, da depositarsi unitamente alla società "Italeaf S.p.A.", ancorché siano già pendenti presso il Tribunale di Milano nei confronti di algoWatt e della capogruppo due istanze di apertura della liquidazione giudiziale, presentate rispettivamente, dal dott. Giovanni La Croce e dalla Procura della Repubblica di Milano.

algoWatt: the Board of Directors resolves to file a petition for the judicial liquidation of the company

The Board of Directors of algoWatt, a GreenTech Company listed on the Euronext Milan market of the Italian Stock Exchange, met today under the chairmanship of Stefano Neri and in the presence of the notary public Francesco Giovanni Sapia, and resolved to file a petition for the opening of the judicial liquidation of the company pursuant to articles 37, 39 and 40 et seq. and 121 et seq. CCII, giving a mandate to the Chairman of the Board of Directors to sign and submit this appeal, including the relevant annexes, to the Court of Milan. The Board of Directors also resolved to empower the Chairman of the Board of Directors to represent the Company in all the tasks provided for by the CCII for the purpose of filing the appeal and the relevant documents, with all the inherent and consequent powers.

algoWatt informs that these resolutions were taken as the investment proposal by a third-party industrial party, which had expressed interest in the transaction, as communicated on 4 May 2024, did not result in a binding offer. As a result of this circumstance, the independent professional appointed pursuant to Article 87, paragraph 3 and Article 284, paragraphs 1 and 5, CCII, deemed the plan not asseverable and consequently not approvable. Therefore, within the term prescribed by the Court of Milan, neither a final proposal of composition with creditors nor an application for approval of debt restructuring agreements was filed.

Consequently, the Board of Directors deemed it appropriate - given the legal requirements and the fact that the Company is no longer able to regularly meet its obligations - to file the above-mentioned petition pursuant to Articles 37, 39 and 40 of the Italian Civil Code, requesting the opening of the judicial liquidation of the Company, to be filed together with the company "Italeaf S.p.A.", even though two petitions for the opening of the judicial liquidation, filed respectively by Giovanni La Croce and the Public Prosecutor's Office of Milan, are already pending before the Court of Milan against AlgoWatt and the parent company.
