#### **L'OFFERTA È DIVENUTA INCONDIZIONATA IN VISTA DEL PAGAMENTO DEL 15 MAGGIO 2024**

# **CONFERMATA LA SUSSISTENZA DEI PRESUPPOSTI PER L'ESERCIZIO DEL DIRITTO DI ACQUISTO AI SENSI DELL'ARTICOLO 111 DEL TUF E L'ADEMPIMENTO DELL'OBBLIGO DI ACQUISTO AI SENSI DELL'ARTICOLO 108, COMMA 1, DEL TUF**

**Milano, 9 maggio 2024** – Facendo seguito al comunicato stampa diffuso in data 8 maggio 2024, Crown Bidco S.r.l. (l'"**Offerente**") rende noti, ai sensi dell'articolo 41, comma 6, del Regolamento Emittenti, i risultati definitivi delle adesioni all'offerta pubblica di acquisto volontaria totalitaria (l'"**Offerta**") avente a oggetto azioni ordinarie di Tod's S.p.A. ("**Tod's**" o l'"**Emittente**"), promossa dall'Offerente ai sensi degli articoli 102 e seguenti del D. Lgs. 24 febbraio 1998, n. 58 (il "**TUF**").

I termini utilizzati con la lettera iniziale maiuscola nel presente comunicato, se non altrimenti definiti, hanno il medesimo significato a essi attribuito nel documento di offerta relativo all'Offerta, approvato dalla Commissione Nazionale per le Società e la Borsa ("**CONSOB**") con delibera del 21 marzo 2024, n. 23042 e pubblicato in data 22 marzo 2024 (il "**Documento di Offerta**").

#### **RISULTATI DEFINITIVI DELL'OFFERTA ED EFFICACIA INCONDIZIONATA DELL'OFFERTA**

Sulla base dei risultati definitivi dell'Offerta comunicati da Intesa Sanpaolo S.p.A., in qualità di intermediario incaricato del coordinamento della raccolta delle adesioni, alla chiusura del Periodo di Adesione risultano portate in adesione all'Offerta n. 5.854.561 Azioni, rappresentative del 17,691% del capitale sociale dell'Emittente e pari al 63,255% delle Azioni Oggetto dell'Offerta.

Il quantitativo complessivo di Azioni portate in adesione all'Offerta durante il Periodo di Adesione risulta dunque ridotto di n. 11.172 Azioni rispetto ai risultati provvisori dell'Offerta comunicati dall'Offerente in data 8 maggio 2024.

Pertanto, tenuto conto de (i) le n. 21.180.411 Azioni, rappresentative del 64,002% del capitale sociale dell'Emittente, detenute complessivamente dalle Persone che Agiscono di Concerto; (ii) le n. 5.027.792 Azioni, rappresentative del 15,193% del capitale sociale dell'Emittente, acquistate dall'Offerente al di fuori dell'Offerta dall'annuncio dell'Offerta fino all'8 maggio 2024 (incluso) a un prezzo unitario per Azione non superiore al Corrispettivo (così come comunicato dall'Offerente a CONSOB e al mercato ai sensi dell'articolo 41, comma 2, lettera c) del Regolamento Emittenti); e (iii) le n. 5.854.561 Azioni, rappresentative del 17,691% del capitale sociale dell'Emittente, portate in adesione all'Offerta nel corso del Periodo di Adesione, **alla Data di Pagamento l'Offerente e le Persone che Agiscono di Concerto risulteranno titolari complessivamente di n. 32.062.764 Azioni, rappresentative del 96,885% del capitale sociale dell'Emittente.**

Come reso noto dall'Offerente con comunicato dell'8 maggio 2024, in considerazione di quanto precede, l'Offerente conferma che la Riapertura dei Termini non avrà luogo, ai sensi e per gli effetti dell'articolo 40-*bis*, comma 3, lett. b), del Regolamento Emittenti.

Con riferimento alle Condizioni dell'Offerta, l'Offerente rende noto quanto segue: (i) come comunicato in data 4 aprile 2024, la Condizione Autorizzazioni si è avverata; (ii) alla data odierna non si sono verificati eventi rilevanti ai fini della Condizione MAC/MAE e, per quanto occorrer possa, l'Offerente rinuncia alla Condizione MAC/MAE; e (iii) la Condizione sulla Gestione è da intendersi avverata. In considerazione di quanto precede, l'Offerta è divenuta incondizionata e pienamente efficace.

## **CORRISPETTIVO E DATA DI PAGAMENTO**

Si ricorda che, alla Data di Pagamento, ovverosia il 15 maggio 2024, l'Offerente pagherà a ciascun Aderente all'Offerta il Corrispettivo pari a Euro 43,00 (quarantatré/00) per ciascuna Azione portata in adesione all'Offerta nel corso del Periodo di Adesione, a fronte del contestuale trasferimento del diritto di proprietà su tali Azioni a favore dell'Offerente.

Il pagamento del Corrispettivo sarà effettuato in denaro. Il Corrispettivo sarà versato dall'Offerente sul conto indicato dall'Intermediario Incaricato del Coordinamento della Raccolta delle Adesioni e da questi trasferito agli Intermediari Incaricati, che trasferiranno i fondi agli Intermediari Depositari per l'accredito sui conti dei rispettivi clienti, in conformità alle istruzioni fornite dagli Aderenti all'Offerta sulla Scheda di Adesione.

L'obbligazione dell'Offerente di corrispondere il Corrispettivo ai sensi dell'Offerta si intenderà adempiuta nel momento in cui le relative somme siano state trasferite agli Intermediari Incaricati. Resta a esclusivo carico degli Aderenti il rischio che gli Intermediari Incaricati, o gli Intermediari Depositari, non trasferiscano tali somme agli aventi diritto ovvero ne ritardino il trasferimento.

## **SUSSISTENZA DEI PRESUPPOSTI DI LEGGE PER L'ESERCIZIO DEL DIRITTO DI ACQUISTO AI SENSI DELL'ARTICOLO 111 DEL TUF E L'ADEMPIMENTO DELL'OBBLIGO DI ACQUISTO AI SENSI DELL'ARTICOLO 108, COMMA 1, DEL TUF**

Alla luce dei risultati definitivi dell'Offerta, l'Offerente conferma che ricorrono i presupposti di legge per l'esercizio del Diritto di Acquisto ai sensi dell'articolo 111 del TUF – del quale l'Offerente ha dichiarato, nella Sezione A, Paragrafo A.10 del Documento di Offerta, l'intenzione di volersi avvalere – in relazione alle rimanenti n. 1.030.775 Azioni, rappresentative del 3,115% del capitale sociale dell'Emittente (le "**Azioni Residue**").

Come dichiarato nel Documento di Offerta, esercitando il Diritto di Acquisto, l'Offerente adempirà altresì all'Obbligo di Acquisto ai sensi dell'articolo 108, comma 1, del TUF in relazione alle Azioni Residue nei confronti degli azionisti dell'Emittente che ne abbiano fatto richiesta, dando pertanto corso alla Procedura Congiunta.

Il corrispettivo della Procedura Congiunta – e, pertanto, del Diritto di Acquisto e del contestuale Obbligo di Acquisto ai sensi dell'articolo 108, comma 1, del TUF – sarà determinato da CONSOB in misura pari al Corrispettivo dell'Offerta (*i.e.*, Euro 43,00 (quarantatré/00) per Azione Residua) ai sensi del combinato disposto dell'articolo 108, comma 4, del TUF (come richiamato, con riferimento al Diritto di Acquisto, dall'articolo 111, comma 2, del TUF) e dell'articolo 50, comma 4, lettera c), del Regolamento Emittenti (come richiamato, con riferimento al Diritto di Acquisto, dall'articolo 50 *quater*, comma 1, del Regolamento Emittenti), dal momento che, ai sensi delle richiamate disposizioni di legge e regolamentari, il numero di Azioni conferite all'Offerta durante il Periodo di Adesione (congiuntamente con gli acquisti di Azioni effettuati dall'Offerente al di fuori dell'Offerta durante il Periodo di Adesione) è stato superiore al 50%, ma inferiore al 90%, delle Azioni Oggetto dell'Offerta (*i.e.*, pari a n. 8.224.723 Azioni, rappresentative dell'88,863% delle Azioni Oggetto dell'Offerta).

Si precisa che, a seguito dell'adempimento della Procedura Congiunta, Borsa Italiana disporrà, ai sensi dell'articolo 2.5.1, comma 6, del Regolamento di Borsa, la sospensione delle Azioni dalle negoziazioni su Euronext Milan e il Delisting.

Le modalità e i termini con cui l'Offerente eserciterà la Procedura Congiunta, nonché le modalità e la tempistica della sospensione delle Azioni dalle negoziazioni e del Delisting saranno comunicati non appena CONSOB avrà provveduto alla determinazione del corrispettivo della Procedura Congiunta ai sensi delle richiamate disposizioni di legge e regolamentari.

A tal fine, l'Offerente rende noto di aver presentato, in data odierna, istanza a CONSOB per la determinazione del corrispettivo della Procedura Congiunta ai sensi del combinato disposto dell'articolo 108, comma 4, del TUF (come richiamato, con riferimento al Diritto di Acquisto, dall'articolo 111, comma 2, del TUF) e dell'articolo 50, comma 10, del Regolamento Emittenti (come richiamato, con riferimento al Diritto di Acquisto, dall'articolo 50-*quater*, comma 1, del Regolamento Emittenti).

**THE OFFER HAS BECOME UNCONDITIONAL AHEAD OF THE PAYMENT OF 15 MAY 2024**

# **THE OCCURRENCE OF THE LEGAL REQUIREMENTS FOR THE EXERCISE OF THE RIGHT TO PURCHASE PURSUANT TO ARTICLE 111 OF THE CFA AND THE FULFILLMENT OF THE PURCHASE OBLIGATION PURSUANT TO ARTICLE 108, PARAGRAPH 1, OF THE CFA IS CONFIRMED**

**Milan, 9 May 2024** – Further to the press release disseminated on 8 May 2024, Crown Bidco S.r.l. (the "**Offeror**") hereby announces, pursuant to Article 41, paragraph 6 of the Issuers' Regulations, the final results of the voluntary totalitarian tender offer (the "**Offer**") over the ordinary shares of Tod's S.p.A. ("**Tod's**" or the "**Issuer**"), promoted by the Offeror pursuant to Articles 102 *et seq.* of Legislative Decree no. 58 of 24 February 1998 (the "**CFA**").

Capitalized terms used in this press release, unless otherwise defined, will have the same meaning attributed to them in the offer document relating to the Offer, approved by the National Commission for Companies and the Stock Exchange (*Commissione Nazionale per le Società e la Borsa* – "**CONSOB**"), with resolution of 21 March 2024, no. 23042 and published on 22 March 2024 (the "**Offer Document**").

#### **FINAL RESULTS OF THE OFFER AND UNCONDITIONAL EFFECTIVENESS OF THE OFFER**

Based on the final results of the Offer communicated by Intesa Sanpaolo S.p.A., in its capacity as intermediary in charge of coordinating the collection of acceptances, at the end of the Acceptance Period no. 5,854,561 Shares, representing 17.691% of the Issuer's share capital and equal to 63.255% of the Offer Shares, were tendered to the Offer.

The overall number of Shares tendered to the Offer during the Acceptance Period is thus reduced by no. 11,172 Shares with respect to the provisional results of the Offer announced by the Offeror

on 8 May 2024.

Therefore, taking into account the (i) no. 21,180,411 Shares, representing 64.002% of the Issuer's share capital, owned in aggregate by the Persons Acting in Concert; (ii) no. 5,027,792 Shares, representing 15.193% of the Issuer's share capital purchased by the Offeror outside the Offer from the announcement of the Offer until 8 May 2024 (included) for a unitary price per Share not exceeding the Consideration (as communicated by the Offeror to CONSOB and the market pursuant to Article 41, paragraph 2, letter c) of the Issuers' Regulations) and (iii) no. 5,854,561 Shares, representing 17.691% of the Issuer's share capital, tendered to the Offer during the Acceptance Period, **on the Payment Date the Offeror and the Persons Acting in Concert will own overall no. 32,062,764 Shares, representing 96.885% of the Issuer's share capital**.

As announced by the Offeror with the press release of 8 May 2024, in light of the foregoing, the Reopening of Terms will not take place, pursuant to Article 40-*bis*, paragraph 3, letter b) of the Issuers' Regulations.

With reference to the Conditions to the Offer, the Offeror hereby announces the following: (i) as announced on 4 April 2024, the Authorizations Condition has been fulfilled; (ii) on the date hereof, no events relevant to the MAC/MAE Condition have occurred and, to the extent necessary, the Offeror waives the MAC/MAE Condition; and (iii) the Management Condition shall be deemed fulfilled. In light of the foregoing, the Offer has become unconditional and fully effective.

#### **CONSIDERATION AND PAYMENT DATE**

It should be noted that, on the Payment Date, *i.e.* 15 May 2024, the Offeror will pay to each Adherent to the Offer the Consideration equal to Euro 43.00 (forty-three/00) per each Share tendered to the Offer during the Acceptance Period, against the simultaneous transfer to the Offeror of the ownership of such Shares to the Offeror.

Payment of the Consideration will be made in cash. The Consideration will be paid by the Offeror to the account designated by the Intermediary in Charge of Coordinating the Collection of Acceptances and transferred by the latter to the Designated Intermediaries, who will transfer the funds to the Depository Intermediaries, for crediting to the accounts of their respective clients, in accordance with the instructions provided by the Adherents to the Offer.

The Offeror's obligation to pay the Consideration under the Offer shall be deemed fulfilled when the relevant amounts have been transferred to the Designated Intermediaries. It remains the sole responsibility of the Adherents to bear the risk that the Designated Intermediaries, or the Depository Intermediaries, fail to transfer such sums to the claimants or delay their transfer.

# **OCCURRENCE OF THE LEGAL REQUIREMENTS FOR THE EXERCISE OF THE RIGHT TO PURCHASE PURSUANT TO ARTICLE 111 OF THE CFA AND THE FULFILLMENT OF THE PURCHASE OBLIGATION PURSUANT TO ARTICLE 108, PARAGRAPH 1, OF THE CFA**

In light of the final results of the Offer, the Offeror confirms the occurrence of the legal requirements for the exercise of the Right to Purchase pursuant to Article 111 of the CFA – which the Offeror has declared, in Section A, Paragraph A.10 of the Offer Document, the intention to exercise it – in relation to the remaining no. 1,030,775 Shares, representing 3.115% of the Issuer's share capital (the "**Residual Shares**").

As represented in the Offer Document, by exercising the Right to Purchase, the Offeror will also fulfil the Purchase Obligation pursuant to Article 108, paragraph 1, of CFA in relation to the Residual Shares *vis-à-vis* the shareholders of the Issuer who have requested it, thus carrying out the Joint Procedure.

The consideration of the Joint Procedure – and, therefore, of the Right to Purchase and the simultaneous Purchase Obligation pursuant to Article 108, paragraph 1, of the CFA – will be determined by CONSOB in an amount equal to the Consideration of the Offer (*i.e.*, Euro 43.00 (forty-three/00) per Residual Share) pursuant to the combined provisions of Article 108, paragraph 4, of the CFA (as referred to, with regard to the Right to Purchase, under Article 111, paragraph 2, of the CFA) and Article 50, paragraph 4, letter c), of the Issuers' Regulations (as referred to, with regard to the Right to Purchase, under Article 50-*quater*, paragraph 1, of the Issuers' Regulations), since, pursuant to the above laws and regulations, the number of Shares tendered to the Offer during the Acceptance Period (along with the purchases of Shares carried out by the Offeror outside the Offer during the Acceptance Period) was higher than 50%, but lower than 90%, of the Offer Shares (*i.e.*, equal to no. 8,224,723 Shares, representing 88.863% of the Offer Shares).

It should be noted that, upon fulfillment of the Joint Procedure, Borsa Italiana will order, pursuant to Article 2.5.1, paragraph 6, of the Stock Exchange Regulations, the suspension of the Shares from trading on Euronext Milan and the Delisting.

The modalities and terms by which the Offeror will exercise the Joint Procedure, as well as the modalities and timing of the suspension of the Shares from trading and the Delisting will be communicated as soon as CONSOB has determined the consideration of the Joint Procedure in accordance with the above laws and regulations.

To this purpose, the Offeror hereby announces that, on date hereof, it has submitted a request to CONSOB for the determination of the consideration of the Joint Procedure pursuant to the combined provisions of Article 108, paragraph 4, of the CFA (as referred to, with regard to the Right to Purchase, under Article 111, paragraph 2, of the CFA) and Article 50, paragraph 10, of the Issuers' Regulations (as referred to, with regard to the Right to Purchase, under Article 50-*quater*, paragraph 1, of the Issuers' Regulations).
