# **MODALITÀ E TERMINI PER L'ESERCIZIO DEL DIRITTO DI ACQUISTO AI SENSI DELL'ARTICOLO 111 DEL TUF E L'ADEMPIMENTO DELL'OBBLIGO DI ACQUISTO AI SENSI DELL'ARTICOLO 108, COMMA 1, DEL TUF**

## **DELISTING DELLE AZIONI DI TOD'S S.P.A. A FAR DATA DAL 7 GIUGNO 2024**

**Milano, 30 maggio 2024** – Con riferimento all'offerta pubblica di acquisto volontaria totalitaria (l'"**Offerta**") promossa da Crown Bidco S.r.l. (l'"**Offerente**") ai sensi degli articoli 102 e seguenti del D. Lgs. 24 febbraio 1998, n. 58 (il "**TUF**") avente a oggetto azioni ordinarie di Tod's S.p.A. ("**Tod's**" o l'"**Emittente**"), l'Offerente rende noto quanto segue.

I termini utilizzati con la lettera iniziale maiuscola nel presente comunicato, se non altrimenti definiti, hanno il medesimo significato a essi attributo nel documento di offerta relativo all'Offerta, approvato dalla Commissione Nazionale per le Società e la Borsa ("**CONSOB**") con delibera del 21 marzo 2024, n. 23042 e pubblicato in data 22 marzo 2024 (il "**Documento di Offerta**").

## **DETERMINAZIONE DEL CORRISPETTIVO DELLA PROCEDURA CONGIUNTA**

Si ricorda che, come reso noto nel comunicato stampa del 9 maggio 2024 (il "**Comunicato sui Risultati dell'Offerta**"), con il quale l'Offerente ha reso noti i risultati definitivi dell'Offerta e il verificarsi dei presupposti di legge per l'esercizio del Diritto di Acquisto e l'adempimento dell'Obbligo di Acquisto ai sensi dell'articolo 108, comma 1, del TUF (da esercitarsi dando corso alla Procedura Congiunta), in data 9 maggio 2024 l'Offerente ha presentato istanza a CONSOB per la determinazione del corrispettivo della Procedura Congiunta ai sensi del combinato disposto dell'articolo 108, comma 4, del TUF (come richiamato, con riferimento al Diritto di Acquisto, dall'articolo 111, comma 2, del TUF) e dell'articolo 50, comma 10, del Regolamento Emittenti (come richiamato, con riferimento al Diritto di Acquisto, dall'articolo 50-*quater*, comma 1, del Regolamento Emittenti).

L'Offerente rende noto che CONSOB, con delibera del 30 maggio 2024, n. 23134, ai sensi dell'articolo 50, comma 11, del Regolamento Emittenti, ha determinato il corrispettivo per l'esercizio del Diritto di Acquisto e l'adempimento dell'Obbligo di Acquisto ai sensi dell'articolo 108, comma 1, del TUF, da riconoscersi nell'ambito della Procedura Congiunta, in misura pari a al Corrispettivo dell'Offerta, ovverosia pari a Euro 43,00 (quarantatré/00) per ciascuna delle n. 1.030.775 azioni Tod's, rappresentative del 3,115% del capitale sociale dell'Emittente, ancora in circolazione (le "**Azioni Residue**").

## **MODALITÀ E TERMINI DELLA PROCEDURA CONGIUNTA**

L'Offerente, in conformità a quanto dichiarato nel Documento di Offerta, eserciterà dunque il Diritto di Acquisto e, contestualmente, adempirà all'Obbligo di Acquisto ai sensi dell'articolo 108, comma 1, del TUF, dando corso alla Procedura Congiunta in relazione a tutte le Azioni Residue, riconoscendo un corrispettivo per ciascuna Azione Residua pari al Corrispettivo dell'Offerta (*i.e.*, Euro 43,00 (quarantatré/00) per azione) (il "**Corrispettivo della Procedura Congiunta**").

Pertanto, tenuto conto del numero complessivo delle Azioni Residue, il controvalore complessivo della Procedura Congiunta sarà pari a Euro 44.323.325,00 (il "**Controvalore Complessivo**").

Il Controvalore Complessivo verrà depositato dall'Offerente presso Intesa Sanpaolo S.p.A. (la "**Banca**") su un conto corrente intestato all'Offerente e vincolato al pagamento del Controvalore Complessivo.

La Procedura Congiunta avrà luogo in data 7 giugno 2024, nel momento in cui l'Offerente darà conferma all'Emittente dell'avvenuto deposito presso la Banca e della disponibilità delle somme per il pagamento del Controvalore Complessivo. Pertanto, in pari data, avrà efficacia il trasferimento della titolarità delle Azioni Residue in capo all'Offerente, con conseguente annotazione sul libro soci da parte dell'Emittente ai sensi dell'articolo 111, comma 3, del TUF.

I titolari delle Azioni Residue potranno ottenere il pagamento del Corrispettivo della Procedura Congiunta direttamente presso i rispettivi intermediari. L'obbligo di pagamento del Corrispettivo della Procedura Congiunta si intenderà assolto nel momento in cui le relative somme saranno trasferite agli Intermediari Incaricati da cui provengono le Azioni Residue oggetto della Procedura Congiunta. Resta a esclusivo carico degli Azionisti il rischio che gli Intermediari Incaricati, o gli Intermediari Depositari, non provvedano a trasferire le somme agli aventi diritto o ne ritardino il trasferimento.

Si ricorda altresì che – decorso il termine di prescrizione quinquennale di cui all'articolo 2949 del codice civile e fatto salvo quanto disposto dagli articoli 2941 e ss. del codice civile – il diritto dei titolari delle Azioni Residue di ottenere il pagamento del Corrispettivo della Procedura Congiunta si estinguerà per prescrizione e l'Offerente avrà diritto di ottenere la restituzione della porzione di Controvalore Complessivo non riscossa dagli aventi diritto.

## **DELISTING DELLE AZIONI TOD'S**

L'Offerente rende altresì noto che, a seguito dell'adempimento della Procedura Congiunta, ai sensi dell'articolo 2.5.1, comma 6, del Regolamento di Borsa, Borsa Italiana disporrà la sospensione delle azioni Tod's dalle negoziazioni su Euronext Milan nelle sedute del 5 giugno 2024 e 6 giugno 2024 e il Delisting a partire dalla seduta del 7 giugno 2024.

## **DETERMINATION OF THE CONSIDERATION TO BE PAID IN THE CONTEXT OF THE JOINT PROCEDURE**

## **MODALITIES AND TERMS FOR THE EXERCISE OF THE RIGHT TO PURCHASE PURSUANT TO ARTICLE 111 OF THE CFA AND THE FULFILLMENT OF THE PURCHASE OBLIGATION PURSUANT TO ARTICLE 108, PARAGRAPH 1, OF THE CFA**

## **DELISTING OF TOD'S SHARES AS OF 7 JUNE 2024**

**Milan, 30 May 2024** – With reference to the voluntary totalitarian tender offer (the "**Offer**") promoted by Crown Bidco S.r.l. (the "**Offeror**") pursuant to Articles 102 *et seq.* of Legislative Decree no. 58 of 24 February 1998 (the "**CFA**") over the ordinary shares of Tod's S.p.A. ("**Tod's**" or the "**Issuer**"), the Offeror hereby announces the following.

Capitalized terms used in this press release, unless otherwise defined, will have the same meaning attributed to them in the offer document relating to the Offer, approved by the National Commission for Companies and the Stock Exchange (*Commissione Nazionale per le Società e la Borsa* – "**CONSOB**") with resolution of 21 March 2024, no. 23042 and published on 22 March 2024 (the "**Offer Document**").

#### **DETERMINATION OF THE CONSIDERATION FOR THE JOINT PROCEDURE**

It should be noted that, as announced in the press released of 9 May 2024 (the "**Press Release on the Results of the Offer**"), whereby the Offeror announced the final results of the Offer and the occurrence of the legal requirements for the exercise of the Right to Purchase and the fulfilment of the Purchase Obligation pursuant to Article 108, paragraph 1, of the CFA (to be exercised by carrying out the Joint Procedure), on 9 May 2024 the Offeror submitted a request to CONSOB for the determination of the consideration of the Joint Procedure pursuant to the combined provisions of Article 108, paragraph 4, of the CFA (as referred to, with regard to the Right to Purchase, under Article 111, paragraph 2, of the CFA) and Article 50, paragraph 10, of the Issuers' Regulations (as referred to, with regard to the Right to Purchase, under Article 50-*quater*, paragraph 1, of the Issuers' Regulations).

The Offeror hereby announces that CONSOB, by resolution of 30 May 2024, no. 23134**,** pursuant to Article 50, paragraph 11, of the Issuers' Regulations, has determined the consideration for the exercise of the Right to Purchase and the fulfilment of the Purchase Obligation pursuant to Article 108, paragraph 1, of the CFA, to be paid in the context of the Joint Procedure, equal to the Consideration of the Offer, *i.e.* Euro 43.00 (forty-three/00) per each of the no. 1,030,775 Tod's shares, representing 3.115% of the Issuer's share capital, still outstanding (the "**Residual Shares**").

## **MODALITIES AND TERMS OF THE JOINT PROCEDURE**

The Offeror, in accordance with what represented in the Offer Document, will therefore exercise the Right to Purchase and, at the same time, will fulfil the Purchase Obligation pursuant to Article 108, paragraph 1, of the CFA, by carrying out the Joint Procedure, in relation to all the Residual Shares, paying a consideration per each Residual Share equal to the Consideration of the Offer, (*i.e.* Euro 43.00 (forty-three/00) per share) (the "**Consideration of the Joint Procedure**").

Therefore, taking into account the overall number of Residual Shares, the overall consideration of the Joint Procedure will be equal to Euro 44,323,325.00 (the "**Overall Consideration**").

The Overall Consideration will be deposited by the Offeror with Intesa Sanpaolo S.p.A. (the "**Bank**") on a bank account in the name of the Offeror and bound to the payment of the Overall Consideration.

The Joint Procedure will take place on 7 June 2024, when the Offeror will confirm to the Issuer the deposit with the Bank and the availability of the amounts for the payment of the Overall Consideration. Therefore, on the same date, the transfer of the ownership of the Residual Shares to the Offeror will become effective, with the consequent registration in the shareholders' ledger by the Issuer pursuant to Article 111, paragraph 3, of the CFA.

Holders of the Residual Shares will be entitled to obtain payment of the Consideration of the Joint Procedure directly from their respective intermediaries. The obligation to pay the Consideration of the Joint Procedure will be deemed to have been fulfilled when the relevant amounts are transferred to the Designated Intermediaries from which the Residual Shares subject to the Joint Procedure originate. Shareholders bear the sole risk that the Designated Intermediaries, or the Depository Intermediaries, fail to transfer the amounts to the beneficiaries or delay their transfer.

It should also be noted that – upon expiration of the five-year statute of limitations provided for under Article 2949 of the Italian Civil Code and without prejudice to the provisions of Articles 2941 *et seq.* of the Italian Civil Code – the right of the holders of the Residual Shares to obtain the payment of the Consideration of the Joint Procedure will be extinguished via statute of limitations and the Offeror will be entitled to obtain the refund of the portion of the Overall Consideration not collected by the beneficiaries.

## **DELISTING OF TOD'S SHARES**

The Offeror also hereby announces that, upon fulfilment of the Joint Procedure, pursuant to Article 2.5.1, paragraph 6, of the Stock Exchange Regulations, Borsa Italiana will order the suspension of Tod's shares from trading on Euronext Milan on 5 June 2024 and 6 June 2024 and the Delisting starting from 7 June 2024.
