algoWatt: sottoscritto contratto di affitto del ramo d'azienda "Green Mobility" a BlueCube Srl

• Il contratto di affitto avrà durata di 5 mesi e prevede un corrispettivo mensile di Euro 500 per i servizi PersonalBus e Tow Services Aci
• Passano a BlueCube know-how, software e attrezzature, marchi, contratti e 5 dipendenti

algoWatt S.p.A., società in liquidazione giudiziale quotata sul mercato Euronext Milan di Borsa Italiana, comunica che i Commissari liquidatori, avv. Vincenzo Tartaro e dott. Carlo Pagliughi, hanno sottoscritto (ai sensi dell'articolo 212 del CCII) un contratto per l'affitto del ramo d'azienda ("l'operazione") denominato "Green Mobility" ("il ramo d'azienda") alla società BlueCube Srl.

L'operazione prevede il pagamento di un corrispettivo mensile pari a Euro 500 (cinquecento), avrà una durata di n. 5 (cinque) mesi, e comprende i servizi "Personal Bus" (logistica del trasporto pubblico in alcuni comuni italiani) e "Tow Services Aci" (logistica dell'assistenza stradale Aci).

Con l'operazione di affitto del ramo d'azienda, vengono trasferiti a BlueCube Srl:

• il know-how sviluppato da algoWatt relativo alle attività sopra citate;
• le attrezzature e i software applicativi oggetto dei servizi di green mobility;
• l'utilizzo dei marchi inerenti alle soluzioni comprese nel ramo d'azienda;
• i contratti con clienti e fornitori e, infine,
• i rapporti di lavoro relativi a n. 5 dipendenti algoWatt altamente professionalizzati.

Nell'ambito dell'operazione, BlueCube Srl ha formulato una proposta irrevocabile per l'acquisto del ramo d'azienda al prezzo di Euro 100 mila (centomila) il cui pagamento sarà integralmente effettuato in denaro entro la data dell'atto di cessione (subordinato all'aggiudicazione della procedura competitiva che sarà indetta dalla procedura della Liquidazione Giudiziale).

algoWatt: rental agreement signed for the Green Mobility business unit to BlueCube Srl

• The business branch rental will run for 5 months and includes a monthly fee of Euro 500 for PersonalBus and Tow Services Aci
• Know-how, software and equipment, trademarks, contracts and 5 employees pass to BlueCube

algoWatt S.p.A., a company in judicial liquidation listed on the Euronext Milan market of the Italian Stock Exchange, announces that the liquidators, Mr. Vincenzo Tartaro and Mr. Carlo Pagliughi, have signed (pursuant to Article 212 of the CCII) a contract for the business branch rental ("the transaction") named "Green Mobility" ("the company branch") to the company BlueCube Srl.

The transaction provides for the payment of a monthly fee of EUR 500 (five hundred), will last five (5) months, and includes the services "Personal Bus" (public transport logistics in some Italian municipalities) and "Tow Services Aci" (Aci roadside assistance logistics).

With the leasing of the business unit, they are transferred to BlueCube Srl:

• the know-how developed by algoWatt relating to the above-mentioned activities;
• the equipment and application software covered by green mobility services;
• the use of trademarks inherent to the solutions included in the business unit;
• contracts with customers and suppliers and, finally,
• the employment relations relating to five highly professionalized algoWatt employees.

As part of the transaction, BlueCube Srl has formulated an irrevocable proposal for the purchase of the business unit at a price of Euro 100 thousand (one hundred thousand), the payment of which will be made in full in cash by the date of the deed of sale (subject to the award of the competitive bidding procedure that will be called by the Judicial Liquidation).
