RISULTATI DELL'OFFERTA IN OPZIONE E PRELAZIONE DELLE AZIONI OGGETTO DI RECESSO

Tamburi Investment Partners S.p.A. ("TIP"), gruppo industriale indipendente e diversificato quotato al segmento Euronext STAR Milan di Borsa Italiana S.p.A. che investe in numerose eccellenze imprenditoriali, rende noto che, con riferimento all'offerta in opzione e prelazione depositata presso il Registro delle Imprese di Milano, Monza, Brianza, Lodi in data 28 maggio 2024 avente ad oggetto 101.206 azioni oggetto di recesso da parte dei soci che non hanno concorso all'approvazione della delibera assunta dall'assemblea straordinaria degli azionisti tenutasi in data 29 aprile 2024 riguardante la maggiorazione "ulteriore" del diritto di voto, il periodo di adesione all'offerta si è concluso in data 27 giugno 2024.

Nell'ambito dell'offerta in opzione, sulla base del rapporto di n. 1 azione ogni 1.635 opzioni possedute, al prezzo unitario di euro 8,7035, stabilito in conformità al disposto dell'art. 2437-ter, terzo comma, cod. civ, sono stati esercitati diritti di opzione per n. 12.258 azioni oggetto di recesso. Le rimanenti n. 88.948 azioni rimaste inoptate (le "Azioni Inoptate") sono state assegnate a seguito dell'esercizio dei diritti di prelazione. Considerato che il numero delle azioni per le quali è stato esercitato il diritto di prelazione è risultato ben superiore al quantitativo di Azioni Inoptate, si è proceduto al riparto tra tutti i richiedenti in proporzione al numero di diritti di opzione da ciascuno di essi detenuto.

Pertanto, tutte le n. 101.206 azioni oggetto di recesso, per un controvalore complessivo pari a euro 880.846,42, risultano acquistate sia per effetto dell'esercizio dei diritti di opzione che per effetto dell'esercizio dei diritti di prelazione.

Il pagamento del controvalore delle azioni oggetto di recesso così come l'accredito e il trasferimento delle azioni acquistate, avverrà in data 5 luglio 2024 attraverso il sistema Monte Titoli per il tramite degli intermediari depositari, senza necessità di alcun adempimento da parte degli azionisti che abbiano esercitato il diritto di recesso, nonché degli azionisti che abbiano esercitato il diritto di opzione e prelazione.

RESULTS OF THE OPTION OFFER AND PRE-EMPTION OFFER OF THE WITHDRAWAL SHARES

Tamburi Investment Partners S.p.A. ("TIP"), independent and diversified industrial group listed on the Euronext STAR Milan segment of Borsa Italiana S.p.A. which invests in excellent entrepreneurial companies, informs that, with reference to the option and pre-emption offer filed with the Companies' Register of Milan, Monza, Brianza, Lodi on May 28, 2024 concerning 101,206 shares subject to withdrawal by shareholders who did not participate in the approval of the resolution passed by the extraordinary shareholders' meeting held on April 29, 2024 regarding the "additional" increase of the right to vote, the acceptance period for the offer ended on June 27, 2024.

In the context of the option offer, on the basis of the ratio of 1 share for every 1,635 options rights held, at a unit price of Euro 8.7035, established in accordance with the provisions of Article 2437-ter, paragraph 3, of the Italian Civil Code, option rights were exercised for no. 12,258 withdrawal shares. The remaining no. 88,948 shares that were unopted (the "Unopted Shares") have been allotted following the exercise of the pre-emption rights. Considering that the number of shares for which the pre-emption right was exercised exceeded the number of Unopted Shares, an allocation was made among all applicants in proportion to the number of option rights held by each of them.

Therefore, all 101,206 withdrawal shares, for an overall value of Euro 880,846.42, were purchased as a result of both the exercise of option rights and the exercise of pre-emption rights.

The payment of the value of the withdrawal shares, as well as the deposit and transfer of the shares purchased, will take place on July 5, 2024 through the intermediaries participating in the central depository system Monte Titoli, without the need for any fulfilment by shareholders who have exercised their right of withdrawal, as well as shareholders who have exercised their option and pre-emption rights.
