Notification of a change in voting rights under chapter 9, section 10 of the Finnish Securities Market Act; a joint venture agreement concerning shareholdings in Stockmann

STOCKMANN plc, Major shareholders announcements 28.3.2023 at 8:00 EET Stockmann plc has on 27 March 2023 received a notification pursuant to Chapter 9, Section 5 of the Finnish Securities Markets Act from JC Switzerland Holding AG. According to the notification, Mercator Media Ab and Peek & Cloppenburg Holding B.V. have entered into a joint venture agreement for the purpose of governing their respective rights and obligations as regards certain aspects of the operation and management of the joint venture (Nordic Retail Partners JV LP) and its general partner (Nordic Retail Partners JV General Partner Ltd), which joint venture the parties have formed for the purpose of pooling their holdings of shares in Stockmann Oyj Abp. Pursuant to the joint venture agreement, Mercator Media Ab, Peek & Cloppenburg Holding B.V. and their respective affiliates, including Föreningen Konstsamfundet r.f. and JC Switzerland Holding AG have transferred all their respective shares in Stockmann Oyj Abp to the joint venture, Nordic Retail Partners JV LP. As a result of the formation of the joint venture, the vote pooling agreement between JC Switzerland Holding AG and Föreningen Konstsamfundet r.f., which was notified by way of a notification of major holdings on 11 January 2023, has been terminated.
