BOLOGNAFIERE: EXECUTED THE MERGER DEED FOR THE INCORPORATION OF BOLOGNA CONGRESSI S.R.L., BFENG S.R.L., PHARMINTECH S.R.L., AND METEF S.R.L.

Bologna, July 15, 2024

Following the press release dated May 8, 2024, BolognaFiere S.p.A. (from now on also referred to as "BolognaFiere" or the "Company" and, together with its subsidiaries, the "Group"), one of the leading international trade fair operators, announces that today, in execution of the resolutions adopted by their respective competent bodies, the merger deed for the incorporation of Bologna Congressi S.r.l., BFEng S.r.l., Pharmintech S.r.l., and Metef S.r.l., companies wholly owned by BolognaFiere (from now on also referred to as the "Merger"), has been executed.

The Merger is part of a broader project to streamline the Group's corporate structure, to simplify and optimize operational and administrative processes, positively impacting the Group's efficiency.

The accounting and tax effects of the Merger will be retroactive to January 1, 2024, meaning that the incorporating entity will fully participate in the profits, including interim profits, of each incorporated company. Conversely, the legal effects of the operation will commence on August 1, 2024 (hereinafter also referred to as the "Effective Date").

From the Effective Date, BolognaFiere will take over all legal relationships previously held by the incorporated companies, resulting in the dissolution of the latter. Article 3 of the BolognaFiere Statute—which will be made available in its new version on the Company's website, www.bolognafiere.it, in the "Corporate Documents and Procedures" section—will be slightly modified to include in the incorporating entity's corporate purpose the activities carried out by the incorporated companies.
