RECORDATI: UPDATE ON THE EXECUTION OF THE SHARE BUY-BACK PROGRAM

Milan, 4 th September 2024 – Within the Recordati's share buy-back program communicated to the market on 9th May 2024 and initiated on 10th May 2024, as per authorization granted by the Shareholders' Meeting held on 22nd April 2024, with the object of the servicing of current and future stock option / performance shares plans in favour of the Recordati Group's management or sharebased incentive plans that might be approved by the Company in the future, the Company communicates the following purchase transactions of Recordati shares pursuant to art. 2, paragraph 3, of the EU Delegated Regulation 2016/1052/EU, on the basis of the information provided by UBS Europe SE as intermediary in charge of executing, in full independency, the share buy-back program on behalf of the Company.

Aggregate details of daily transactions made from 26th to 30th August 2024 in Recordati ordinary shares (ISIN IT0003828271) are as follows:

On 30th August 2024, the Company held no. 2,840,334 treasury shares which amount to 1.358% of the current share capital.

Please note that, as a partial adjustment to the press release issued by Recordati S.p.A. on 27th August 2024, the number of treasury shares held by the Company on 23rd August 2024 was equal to no. 2,964,386 amount to 1.418% of the current share capital, instead of no. 2,923,886 amount to 1.398% of the current share capital as previously communicated.
