The members of the shareholders' nomination board of Purmo Group Plc nominated

Purmo Group Plc’s three largest shareholders have nominated the following representatives to the Nomination Board:

• Matts Rosenberg (appointed by Rettig Group Ltd),
• Alexander Ehrnrooth (appointed by Virala Corporation), and
• Sebastian Burmeister (appointed by Ahlstrom Invest B.V.).

Matts Rosenberg will continue as Chairman of the Nomination Board. Tomas von Rettig, Chairman of the Company’s Board of Directors, will continue as expert member of the Nomination Board.

The Shareholders’ Nomination Board consists of persons appointed by the three largest shareholders of the company who (i) represent the largest number of votes out of all shares in the company on 30 May each year (the “Assessment Day”) as determined on the basis of the shareholder register of the company maintained by Euroclear Finland Oy; and (ii) wish to nominate a member to the Nomination Board.

The Shareholders’ Nomination Board prepares annually, and otherwise when appropriate, proposals concerning the composition, election and the remuneration of the members of the Board of Directors of the Company. The Nomination Board will submit its proposals at the latest on 31 January 2024.
