PRANEŠIMAS APIE KETINIMĄ TEIKTI PRIVALOMĄ NEKONKURENCINĮ OFICIALŲ SIŪLYMĄ

UAB EDS INVEST 3, pagal Lietuvos Respublikos įstatymus įsteigta ir veikianti bendrovė, juridinio asmens kodas 304990969, kurios buveinė registruota adresu Antano Tumėno g. 4, Vilnius, Lietuvos Respublika, Lietuvos Respublikos vertybinių popierių įstatymo nustatyta tvarka ketina teikti privalomą nekonkurencinį oficialų siūlymą supirkti likusias 3 434 834 (tris milijonus keturis šimtus trisdešimt keturis tūkstančius aštuonis šimtus keturias) paprastąsias registruotas AB "Snaigė" (teisinė forma: akcinė bendrovė, juridinio asmens kodas: 249664610, registruota adresu Pramonės g. 6, Alytus, Lietuvos Respublika) akcijas, kurių kiekvienos nominali vertė – 0,17 EUR, sudarančių 8,7 % AB "Snaigė" akcijų ir jų suteikiamų balsų visuotiniame akcininkų susirinkime.

AB "Snaigė" valdyba 2024 m. kovo 22 d. paskelbė pranešimą apie ketinimą išbraukti AB "Snaigė" akcijas iš prekybos reguliuojamoje rinkoje AB Nasdaq Vilnius ir nebesiūlyti akcijų viešai.

2024 m. balandžio 15 d. AB "Snaigė" neeilinis visuotinis akcininkų susirinkimas daugiau nei ¾ visų dalyvaujančių susirinkime akcininkų akcijų suteikiamų balsų dauguma priėmė sprendimą 1) inicijuoti visų AB "Snaigė" išleistų akcijų išbraukimą ir išbraukti jas iš prekybos reguliuojamoje rinkoje AB Nasdaq Vilnius bei 2) nustatė, kad už šį sprendimą balsavę akcininkai įgyvendins oficialų siūlymą supirkti AB "Snaigė" akcijas. UAB EDS INVEST 3 įgyvendins oficialų siūlymą už kitus šią prievolę įgijusius AB "Snaigė" akcininkus, kurie neišreikš valios jo įgyvendinti savarankiškai, ir 3) oficialaus

NOTICE ON THE INTENTION TO SUBMIT A NON-COMPETITIVE MANDATORY TAKEOVER BID

UAB EDS INVEST 3, a company incorporated and existing under the laws of Lithuanian Republic, legal entity code 304990969, with its address registered at Antano Tumėno st. 4, Vilnius, the Republic of Lithuania, in accordance to the Law on Securities of the Republic of Lithuania intends to submit a noncompetitive mandatory takeover bid to buy the remaining 3,434,834 (three million four hundred thirty four thousand eight hundred thirty and four) ordinary registered shares of AB "Snaigė" (legal form: public limited liability company, legal entity code: 249664610, registered address at Pramonės st. 6, Alytus, the Republic of Lithuania) with the par value of 0.17 EUR each, constituting 8.7 % of shares and votes carried by them at the general meeting of shareholder of AB "Snaigė".

On 22 March 2024 the Board of AB "Snaigė" has published a notification on the intention to delist shares of AB "Snaigė" from trading on the regulated market AB Nasdaq Vilnius and not to continue the public offering of shares.

On 15 April 2024 the extraordinary general meeting of AB "Snaigė" adopted a decision by more than ¾ of the votes of all shareholders participating in the meeting 1) to initiate the delisting of all shares issued by AB "Snaigė" and remove them from trading on the regulated market AB Nasdaq Vilnius and no longer offer them to the public and 2) established that the shareholders who voted for this decision shall implement the takeover bid to buy up AB "Snaigė" shares. UAB EDS INVEST 3 shall implement a takeover bid for other shareholders of AB Snaigė who have acquired this obligation and who do not
