Für den Inhalt der Mitteilung ist allein der Emittent verantwortlich. —————————————————————————— Allianz AG – Inhaber-Genussscheine Information über Kündigungsmöglichkeit – WPK-Nr. 840 405 Gemäß § 6 Abs. 1 der Genussscheinbedingungen können die Genussscheine von den Genussscheininhabern erstmals zum 31.12.2001 mit einer Kündigungsfrist von mindestens 12 Monaten gekündigt werden. In diesem Kündigungsfall zahlt die Gesellschaft derzeit pro Genussschein Euro 78,54 zurück. Dieser Rückzahlungspreis kann sich bis zum 31.12.2001 gemäß § 6 Abs. 2 der Genussscheinbedingungen noch verändern. Die Börsennotiz für nicht gekündigte Genussscheine bleibt auch über den 31.12.2001 hinaus bestehen. Die Gesellschaft weist darauf hin, dass aus heutiger Sicht keine Überlegungen bestehen, die Genussscheine zum 31.12.2006 gemäß § 6 Abs. 4 der Genussscheinbedingungen zu kündigen. Die Abwicklungsmodalitäten sind die folgenden: Zahlstelle: Dresdner Bank AG, GB Global Transaction Banking, Kapitalmaßnahmen/WPD-Datei, Jürgen-Ponto- Platz 1, 60301 Frankfurt am Main. Ende der Kündigungsfrist für Genussscheininhaber: 31. Dezember 2000. Auszahlung des Rückzahlungspreises gekündigter Genussscheine: 2. Januar 2002. Wertpapier-Kennnummer gekündigter Genussscheine: 840 406. Girosammelverwahrte Genussscheine: Gekündigte Genussscheine sind unverzüglich in den Kundendepots in die Wertpapierkennnummer 840 406 unter analoger Buchung bei der Clearstream Banking AG umzubuchen. Auslieferung/Einlieferung gekündigter Genussscheine: Effektive Auslieferungen/ Einlieferungen gekündigter Genussscheine über Clearstream Banking AG sind nicht möglich. Streifbandverwahrte/eigenverwahrte Genussscheine sind zur Kündigung bei einem Kreditinstitut einzureichen. Die zur Kündigung eingereichten Genussscheine sind von diesem Kreditinstitut unverzüglich an die Zahlstelle weiterzuleiten. Die Genussscheine, Ausschüttungsanteilsscheine und Erneuerungsscheine erhalten dort den Stempel “gekündigt zum 31. Dezember 2001 mit der neuen WPK- Nr. 840 406”. Die Stücke werden sodann an den Einreicher zurückgereicht. Allianz AG – Profit Participation Certificates Information about redemption option – Security Identification Nr. 840 405 According to § 6 Paragraph 1 of the Profit Participation Certificates Terms and Conditions, owners of the Profit Participation Certificates can initially redeem the Profit Participation Certificates effective 31 December 2001 upon offering a redemption notice at least 12 months in advance. Upon such redemption the Company will pay the current redemption price of Euro 78.54 for each Profit Participation Certificate. According to § 6 Paragraph 2 of the Profit Participation Certificate Terms and Conditions, the redemption price may fluctuate until 31 December 2001. The exchange listing for unredeemed Profit Participation Certificates will continue past 31 December 2001. The Company notes that it does not currently intend to call the Profit Participation Certificates on 31 December 2006 according to § 6 Paragraph 4 of the Participating Certificate Terms and Conditions. The redemption procedure is as follows: Paying agent: Dresdner Bank AG, GB Global Transaction Banking, Kapitalmassnahmen/WPD-Datei, Jürgen-Ponto-Platz 1, 60301 Frankfurt am Main. Redemption notification deadline for owners of Profit Participation Certificates: 31 December 2000. Payment of redeemed Profit Participation Certificates: 2 January 2002. Security identification number of redeemed Profit Participation Certificates: 840 406. Profit Participation Certificates in general deposits of securities: The redeemed Profit Participation Certificates are to be immediately transferred to security identification number 840 406 in the customer accounts through corresponding book-entry transfer with Clearstream Banking AG. Delivery of redeemed Profit Participation Certificates: Physical delivery of redeemed Profit Participation Certificates through Clearstream Banking AG is not possible. Redemption of Profit Participation Certificates in safe custody deposits accounts/personal deposits accounts require delivery to a bank. Such delivered Profit Participation Certificates shall be immediately forwarded by such banks to the paying agent. There, all such Profit Participation Certificates, coupons and talons will be stamped as “gekündigt zum 31. Dezember 2001 mit der neuen WPK- Nr. 840 406” (translation: “redeemed for 31 December 2001 with the new security identification Nr. 840 406”). The certificates will then be returned to the delivering person.
