The issuer is solely responsible for the content of this announcement. ——————————————————————————– Change in Stockholder Structure SAP Increases its Investment in SAP Systems Integration by Almost 7 Percent The stockholder structure of SAP Systems Integration AG (SAP SI), Dresden will change as of July 2, 2001. SAP AG, of Walldorf, Germany -the world leader in e- business software solutions- has informed SAP SI that it has acquired approximately 2.4 million shares in the Dresden, Germany based IT consulting company. The shares originated from the original portfolio held by the Siemens Group, and were acquired off the floor. “By increasing our investment, we aim to underline SAP SI’s membership of the SAP Group”, said Dr. Werner Brandt, CFO of SAP AG and Chairman of the Supervisory Board of SAP SI AG. As a result of the deal, SAP will raise its stake in SAP SI by 6.72 to 60.41 percent. SAP SI shares were first quoted on the Neuer Markt in Frankfurt on September 13, 2000 and are listed in the Nemax 50. The capital stock amounts to 35,800,000 ordinary bearer shares. The major stockholder after SAP is Software AG, with approx. 11.42 percent. The remaining 28.17 percent of the capital stock is publicly held. SAP Systems Integration AG SAP Systems Integration AG (SAP SI) offers enterprises and public institutions comprehensive IT consulting services. With a vertical industry approach the company implements and operates IT systems in the SAP environment while also integrating heterogeneous systems extending across company and country boundaries. SAP SI employs about 1,400 employees and reported revenues of 186.2 million Euros ($172.5 million U.S.) in fiscal year 2000.
