The new 99.999 shares were placed with known investors and with the founder shareholders at a price of Euro 10.00 per share. In the meantime, CeoTronics received approximately 1 Mio. Euro in cash. The shares of this capital increase will presumably admitted to the price fixing at the Neuer Markt on August 6, 2001. end of ad hoc announcement (c) DGAP 30.07.2001 Issuer’s information/explanatory remarks concerning this ad hoc announcement: Explanations: The funds, which were accrued at the IPO in November 1998, were circumspectly and as planned invested in the internal growth of the CeoTronics AG; among others to strengthen the R & D Department to innovate new products as well as to expand personnel and geographically the Sales Department. CeoTronics will continue the growth with the inflow of funds of this capital increase with reduced speed but with steadiness according to the chairman, Hans-Dieter Günther. The new funds will be invested in the development of digital radio systems for the professional audio and data transfer as well as for the expansion of the Sales Department by external growth. Günther states further: We stretched the growth plan to give priority to the realization of profits. The CeoTronics Group will presumably achieve a positive consolidated result after taxes in the current business year (June 1, 2001 to May 31, 2002).
