Saale – Finishing touches put to sale of interest in Amper Kliniken – Dachau District Council gives approval for Rhön-Klinikum AG to become majority shareholder – Staff will be taken over Dachau / Bad Neustadt a.d. Saale, 17 December 2004 —– Rhön-Klinikum AG headquartered in Bad Neustadt/Saale will become majority shareholder (74.9%) of Amper Kliniken AG. The District Council on Friday (17 December) approved by an overwhelming majority the sale to the listed hospital group. The parties assume that notarisation will take place this coming Monday, 20 December 2004. To complete the sale transaction, Amper Kliniken AG must be founded as a new company. The well-known name “Amper Kliniken AG” will be retained by the successor company. The existing company will be renamed. With its interest of 25.1 per cent, Dachau District will still have a say in all matters concerning these hospitals. Rhön-Klinikum AG will hold a 74.9 per cent interest in the new stock corporation. There will be a smooth and seamless transition to the new Amper Kliniken AG, with its operations being taken up at the beginning of 2005. All employees will be taken over by the new company. Amper Kliniken AG will thus count some 1100 employees and remain the largest employer in the District of Dachau. In addition, the conversion of Klinikum Dachau into a healthcare centre will not be delayed but continue on schedule. As a result, no cuts will be made in medical care for the population of the District of Dachau. The District of Dachau decided in favour of Rhön-Klinikum Group as a partner in order to secure the future of its hospital sites Dachau and Markt Indersdorf. Unlike many other municipal hospitals, Amper Kliniken AG has always posted positive operating results. Nevertheless, to cope with the tough competitive environment of the healthcare system in future, strong partners are needed. Klinikum Dachau currently has 443 beds. At its two sites in the City of Dachau, it treats patients in the specialty fields of internal medicine, general surgery, gynaecology / obstetrics, and neurology. It also has two affiliated practitioner departments, oto-rhino-laryngology (ENT) and urology. Some beds are available for the treatment of pain patients. The 110-bed Klinik Indersdorf specialises the acute-medical areas of internal medicine and general surgery with 50 beds. The geriatric rehabilitation facility has 60 beds for inpatient treatments as well as 10 day-clinic places. In 2003, the hospitals of Amper Kliniken treated roughly 20,000 inpatients and some 25,000 patients on an outpatient basis. The nursing school belonging to the Klinikum has 90 places for training nurses and 20 for training nursing assistants. end of message, (c)DGAP 17.12.2004 ——————————————————————————– WKN: 704233; ISIN: DE0007042335; Index: MDAX Listed: Amtlicher Markt in Frankfurt (Prime Standard) und München; Freiverkehr in Berlin-Bremen, Düsseldorf, Hamburg und Stuttgart 171322 Dez 04
