The issuer is solely responsible for the content of this announcement. —————————————————————————— Cancellation of the rights offer carried out between May 6th and May 20th, 2005 Reduction of the Company’s capital by 11:1 New rights offer with an issuing volume of EUR 3,600,000.00 Munich, June 15th, 2005 – Board of Management and Supervisory Board of Travel24.com AG have decided on June 15th, 2005 to cancel the issue of convertibles in a nominal amount of up to EUR 1,200,000.00 carried out by means of a rights offer between May 6th and May 20th, 2005 due to limited proceeds from this issue. At the same time the Company announces that it will suggest to its shareholders a capital reduction at the ratio of 11 : 1at the next annual general meeting scheduled to take place on August 3rd, 2005. The Company further announces that its Board of Management and Supervisory Board have decided on June 15th, 2005 to issue 1,200,000 convertibles with a nominal value of EUR 1.00 each at an issue price of EUR 3.00 per convertible, thus for a total issue amount of EUR 3,600,000.00, by means of a new rights offer. The convertibles are configured so that their conversion ratio stays unchanged in case of a capital reduction. Shareholders will be informed shortly about the rights issue and the terms of the convertible through their depositary bank. The issue is conducted through VEM Aktienbank AG, Munich.
