VIB Vermögen AG: Amount of holding in the BBI AG diluted to around 29%

The issuer is solely responsible for the content of this announcement. —————————————————————————— • Amount of holding in the BBI AG diluted to around 29% • BBI AG successfully places capital increase to the amount of EUR 46.4m • Important strategic milestone reached on the way towards converting the BBI AG into a German REIT Neuburg/Donau, 12th December 2006 – The VIB Vermögen AG has reduced its amount of holding in the BBI Bürgerliches Brauhaus Immobilien AG from 94.45% to 28.63%. As such, the VIB Vermögen AG has taken a strategically decisive step towards converting the BBI AG into a German REIT in the middle-term. This was preceded by a successful capital increase of the BBI AG, in which the VIB Vermögen AG only participated to a minor extent. In the course of the capital increase of the BBI AG, a total of 3,640,000 bearer shares were subscribed for at an issue price of EUR 12.75. The gross proceeds of the issue amount to around EUR 46.4m, which will flow to the BBI AG and be available for investment in further commercial real estate. Consequently, the share capital of the BBI AG has risen from EUR 1,560,000 to EUR 5,200,000. Within the framework of the planned conversion to IFRS accounting, the VIB Vermögen AG will show the BBI AG as an associated company. In this way the company will profit in future from any possible BBI AG dividends that flow into the income from participations. The VIB Vermögen AG will publish a turnover and earnings forecast for the business year 2007 at the same time as the figures for the financial year 2006, following the final adjustments of the financial accounting to IFRS. Profile of the VIB Vermögen AG The VIB Vermögen AG is a medium-sized real estate holding company that focuses its investments on commercial real estate in the South Bavarian region. Founded in 1993 as a business partnership, the VIB was converted into a public company in the year 2000. Since then the company has developed its core competency in the fields of acquisition and administration of its own real estate and of investing in companies with real estate assets. The real estate portfolio of the VIB Group – not including the real estate of the BBI AG – comprises around 30 different properties including both an industrial plant and an industrial estate in Neuburg/Donau, a commercial park in Günzburg and the DonauCityCenter in Ingolstadt. The logistics real estate parcel that was acquired in November 2006 and a retail and services centre in the commercial area of Memmingen-Nord are also part of the company’s holdings.
