Shareholder rearrangement at HCI Capital AG

MPC Capital AG enables a rearrangement of the shareholder structure of HCI
Capital AG following it’s agreement to take over 29.5% of the shares. In
the course of the rearrangement MPC Capital AG with its holding of 15.1%
will remain the single biggest shareholder in HCI Capital AG. Peter Döhle
Schiffahrts-KG and Corsair Capital LLC, two partners who are well familiar
with the business, will each become a 10% shareholder in HCI Capital AG. In
the future Harald Christ, chairman of the Managing Board of HCI Capital AG,
will own 8.78% of the shares through Christ Capital GmbH.

Out of the original 29.5% stake comprised of 7,080,000 shares, 10% or
2,400,000 shares have been sold to Peter Döhle Schiffahrts-KG. Another 4.4%
or 1,056.000 shares have been taken over by Corsair Capital LLC. The latter
has also acquired the remaining 2.22% holding (533.793 shares) from HCI
SICAR A.G. (Luxembourg), who will offtake completely from its shareholding
as planned. The 3.4% interest (816.000 shares) has been acquired from
Christ Capital GmbH. Due to the transactions the freefloat of HCI Capital
will amount to 56.1% again. The parties have agreed not to disclose the
purchase price per share.

Dr. Axel Schroeder, Chairman of the Managing Board of MPC Capital AG,
commented: 'Right from the start our acquisition of the shares was driven
by the objective to set up a stable and reliable shareholder structure in
HCI Capital. By bringing in the new shareholders, we have created a
dependable shareholder set-up which will add value to HCI Capital. The new
structure achieved is sending the capital market another clear signal that
we consider our stake in HCI Capital as a financial investment.'
