Extraordinary General Meeting of Shareholders Established Framework For
Conversion into G-REIT
Hamburg, 28 March 2007 - Today the extraordinary general meeting of
shareholders of Alstria Office AG on the basis of the resolution of the
German Federal Parliament (Bundestag) of March 23, 2007 on the Law for the
Creation of German Real Estate Stock Corporations with Listed Shares
(BR-Drucksache 191/07) (G-REIT Law) resolved to amend the company's
articles of association. The amendment of the articles of association is a
prerequisite for the company to obtain G-REIT status.
The status of a G-REIT, however, will be obtained only upon registration of
the amendment of the articles of association in the commercial register
which may be effected only after the law has come into force. For this, the
approval of the G-REIT Law by the German Federal Council (Bundesrat), which
is expected to occur on March 30, 2007, the execution of the law by the
German Federal President (Bundespräsident) and the publication in the
Federal Law Gazette (Bundesgesetzblatt) are required. Furthermore, the
shares of the company are required to be admitted to trading on an
organized market before G-REIT status can be achieved. This requirement is
expected to be fulfilled next week when the shares of the company are
expected to be listed and trading in the shares is expected to commence on
the Regulated market (Prime Standard) of the Frankfurt Stock Exchange. In
addition, in order to fulfill a further prerequisite for G-REIT status, the
shareholding of the main shareholder is subsequently to be restructured
such that it does not directly hold more than 10% of the company's shares.

alstria owns a diversified portfolio of properties across attractive German
office real estate markets. Its current portfolio comprises 63 real estate
properties with an aggregate lettable space of approximately 620,000 sqm
and a total value of Euro 1,380 million. This includes two residential real
estate properties for which a sale and purchase agreement has been executed
with a third party but which are still owned by alstria and will only
economically be transferred to the purchaser in July 2007 and will legally
be transferred thereafter. If one takes into consideration an acquisition
recently agreed with UBS Real Estate Kapitalanlagegesellschaft mbH,
alstria’s portfolio would include 71 properties with an aggregate lettable
space of approximately 774,000 sqm and a total value of Euro 1,601 million.
alstria intends to expand its portfolio significantly in the upcoming years
as part of a sustainable growth strategy based on selective investments and
active asset and portfolio management as well as on establishing and
maintaining good relationships with its key customers and decision makers.
