On 5 November 2008, BlackRock, Inc., informed us as follows:

On 3 November 2008, Black Rock, Inc., New York, USA, crossed above the
threshold of 3 % of the voting rights in GEA Group Aktiengesellschaft,
Bochum, Germany. On that date, BlackRock, Inc. held 3.02 % of the voting
rights in GEA Group Aktiengesellschaft arising from 5,557,247 voting
rights. All voting rights in GEA Group Aktiengesellschaft were attributed
to BlackRock, Inc., pursuant to section 22 para. 1 sent. 1 no. 6 WpHG in
connection with sent. 2 WpHG.

On 5 November 2008, we were informed about the retraction of a notification
of 3 April 2008 (released on 7 April 2008):

The notification sent on 3 April 2008 by BlackRock Holdco 1, LLC, New York,
USA, that its voting right interest in GEA Group Aktiengesellschaft,
Bochum, Germany, went above the threshold of 3% and amounted to 3.02%
(5,547,686 voting rights) and that this voting interest was attributed
according to section 22 para. 1 sent. 1 no. 6 in connection with sent. 2
WpHG was incorrect. This notification of BlackRock Holdco 1, LLC, is
retracted as BlackRock Holdco 1, LLC, was dissolved on 28 March 2008. The
notification was not necessary.
