On 14 January 2009, Allianz SE informed us as follows:

In the course of the sale of Dresdner Bank AG to Commerzbank AG, the voting
interest held by Allianz SE, Munich, Germany, in GEA Group
Aktiengesellschaft, Bochum, Germany, fell below the thresholds of 3, 5 and
10% and amounted to 2.47% of the voting rights (4,541,022 voting rights)
on 12 January 2009.
2.47% of these voting rights (4,540,667 voting rights) were attributed to
Allianz SE pursuant to § 22 para. 1 sent. 1 no. 1 WpHG and 0.0001 % of the
voting rights (355 voting rights) were attributed pursuant to § 22 para 1
sent. 1 no. 6 WpHG.

At the same time, Allianz SE informed us pursuant to § 21 para. 1 WpHG in
conjunction with § 24 WpHG as follows:

On 12 January 2009, the voting interest held by Allianz Finanzbeteiligungs
GmbH, Munich, Germany, in GEA Group Aktiengesellschaft, Bochum, Germany,
fell below the thresholds of 3 and 5 % and amounted to 0 % (0 voting
rights) on that day.

On 14 January 2009, Commerzbank AG informed us as follows:

On 12 January 2009, the voting interest held by Commerzbank AG, Frankfurt
am Main, Germany, in GEA Group Aktiengesellschaft, Bochum, Germany, crossed
above the thresholds of 3 and 5 % and amounted to 7.83 % (14,390,151 voting
rights). Commerzbank AG directly held 0.06 % (102,800 voting rights), 7.77
% (14,287,351 voting rights) were attributed to Commerzbank AG pursuant to
§ 22 para.1 sent. 1 no. 1 WpHG by Dresdner Bank AG and Süddeutsche
Industrie-Beteiligungs-GmbH.
