ZhongDe Waste Technology AG announces strategic cooperation agreement with
Genesis Energy Holdings Limited

Hamburg, 3 February, 2009 - ZhongDe Waste Technology AG [Ticker ZEF]
announced today that ZhongDe Group ('ZhongDe') has signed a strategic
cooperation agreement with Genesis Energy Holdings Limited. This agreement
will be valid for three years. Genesis Energy Holdings Limited, as the
investor and operator, is in charge of investment and financing
waste-to-energy projects. ZhongDe, as the general contractor, is
responsible for design, procurement, installation and construction of these
projects

Part of the agreement is that ZhongDe will look for potential investment
opportunities for municipal waste incineration with power generation
projects in China and abroad. Genesis Energy Holdings Limited will also
search for new project opportunities and will collect relevant information.
Both parties will work together and will use their resources in an optimum
way to analyse and implement projects during their strategic cooperation.

Genesis Energy Holdings Limited’s principal business is the engagement in
the development of oil fields, the exploitation and extraction of oil and
gas, crude oil storage and pipeline transportation of crude oil and natural
gas, the construction and operation of municipal natural gas distribution
networks and gas refilling stations, which supply natural gas and liquefied
petroleum gas ('LPG') for vehicle use and sale LPG in cylinders. The
company is listed in the Main Board of the Hong Kong Stock Exchange (Ticker
702HK).
