METRO AG:METRO Group divests Adler fashion stores

With effect from 1 January 2009, METRO Group divests the Adler fashion
stores. The acquiring party is the private equity fund BluO. At the end of
July 2008, METRO Group announced that the disposal of Adler would be
accelerated and accordingly, the business would be reported within
discontinued operations.

In the course of the disposal, an additional earnings burden, which
includes the operating result, of a double-digit million Euro amount will
be incurred within the discontinued operations in METRO Group’s FY 2008
Financial Statements. This transaction will not affect METRO Group’s 2008
earnings guidance.

In 2008, Adler fashion stores employed around 5,800 employees in 120 stores
in Germany, Austria and Luxemburg, and generated €464m sales.
The transaction is subject to the approval of METRO AG’s Supervisory Board
and the responsible merger control authorities.
