SINGULUS TECHNOLOGIES: Merger of HamaTech AG into SINGULUS TECHNOLOGIES
Becomes Effective with Entry on Commercial Register

Kahl am Main, February 24, 2009 - SINGULUS TECHNOLOGIES AG (SINGULUS) is
able to report that the merger with HamaTech AG, Kahl am Main, as the
transferring company to SINGULUS TECHNOLOGIES AG, Kahl am Main, as the
acquiring company, took effect on February 24, 2009 along with the entry of
the merger on the Commercial Register on the Local Court of Aschaffenburg,
which is responsible for the registered office of SINGULUS TECHNOLOGIES AG.

Both the assets and liabilities of HamaTech AG have now been transferred to
SINGULUS TECHNOLOGIES AG. HamaTech AG, Kahl am Main, has ceased to exist as
a result of the merger.

Some shareholders of HamaTech AG launched an action for rescission against
the merger resolution passed by the Extraordinary General Meeting of
HamaTech AG on December 17, 2007. Upon the application of HamaTech AG, the
District Court of Nuremberg-Fürth established by resolution dated August
14, 2008 that the launching of action does not stand in the way of the
merger's entry on the Commercial Register.

The immediate appeals against this ruling by some shareholders were finally
rejected by the ruling of the Nuremberg Higher Regional Court on February
17, 2009. This cleared the way for the merger's entry on the Commercial
Register.
