Munich, August 31st, 2009 - Today's Annual General Meeting has approved
the contracts regarding the transaction with Unister Holding GmbH dated
April 21st/22nd 2009 which were referred for a decision on Agenda Item 10
by an overwhelming majority. This was the last condition for the
effectiveness of the contracts concluded in April between the company and
the Unister Holding GmbH and for the acquisition of controlling stake in
the company through the Unister Holding GmbH as part of the restructuring
plan.
Furthermore the AGM resolved the transfer of seat from Munich to Leipzig.
The transfer takes effect upon registration with the Commercial Register.
The previous Supervisory Board members Matthias Schüppen, Martin Amrhein
and Reiner Distel have resigned their positions as agreed at the end of the
AGM. Daniel Kirchhof and Oliver Schilling from Unister Group, Leipzig and
Mag. Markus Mair from the shareholder Aktieninvestor.com AG, Vienna were
chosen as new board members. In its inaugural session the Supervisory Board
has determined Daniel Kirchhof as Chairman.
