21 Abs. 1 WpHG am 22.10.2009 Folgendes mitgeteilt:

'Notification pursuant to Section 21 paragraph 1 sentence 1 WpHG
('Stimmrechtsmitteilung')
Bilfinger Berger AG, Carl-Reiß-Platz 1-5, 68165 Mannheim, Germany

I.
In the name of and on behalf of Newton Investment Management Ltd., London,
United Kingdom, we hereby give notice pursuant to section 21, paragraph 1,
sentence 1 of the WpHG (German Securities Trading Act) that on October 15,
2009 the voting rights of Newton Investment Management Ltd. in Bilfinger
Berger AG exceeded the threshold of 3% and amounted to 3.43% (1,275,404
voting rights) on this day.

All these holdings of voting rights are attributable to Newton Investment
Management Ltd. pursuant to Section 22 paragraph 1 sentence 1 no. 6 WpHG.

Further in the name and on behalf of

rights of each above mentioned company in Bilfinger Berger AG exceeded the
threshold of 3% and each amounted to 3.43% (1,275,404 voting rights) on
this day.

These 3.43% (1,275,404 voting rights) are attributable to each above listed
company pursuant to Section 22 paragraph 1, sentence 1 no. 6 WpHG and
Section 22 para. 1 sentence 2 WpHG.

Further in the name and on behalf of MBC Investments Corp., Delaware, USA,
we herby notify pursuant to section 21, paragraph 1, sentence 1 of the WpHG
(German Securities Trading Act) that on October 15, 2009 the voting rights
of the above mentioned company in Bilfinger Berger AG exceeded the
threshold of 3% and amounted to 3.45% (1,281,552 voting rights) on this
day.

These 3.45% (1,281,552 voting rights) are attributable to the above listed
company pursuant to Section 22 paragraph 1, sentence 1 no. 6 WpHG and
Section 22 para. 1 sentence 2 WpHG.

IV.
Further we, The Bank of New York Mellon Corporation, hereby notify pursuant
to section 21, paragraph 1, sentence 1 of the WpHG (German Securities
Trading Act) that on October 15, 2009 our voting rights in Bilfinger Berger
AG exceeded the threshold of 3% and amounted to 3.70% (1,377,052 voting
rights) on this day.

These 3.70% (1,377,052 voting rights) are attributable to us pursuant to
Section 22 paragraph 1 sentence 1 no. 6 WpHG and Section 22 para. 1
sentence 2 WpHG.'
