The Bank of New York Mellon Corporation, Pittsburgh, USA, hat uns gemäß §
21 Abs. 1 WpHG am 19.04.2010 Folgendes mitgeteilt:

'Notification pursuant to Section 21 paragraph 1 sentence 1 WpHG
('Stimmrechtsmitteilung')
Bilfinger Berger AG Carl-Reiß-Platz 1-5, 68165 Mannheim, Germany

I.
In the name of and on behalf of Newton Investment Management Ltd., London,
United Kingdom, we hereby give notice pursuant to section 21, paragraph 1,
sentence 1 of the WpHG (German Securities Trading Act) that on March 17,
2010 the voting rights of Newton Investment Management Ltd. in Bilfinger
Berger AG fell below the threshold of 3% and amounted to 2.97% (1,367,751
voting rights) on this day.

All these holdings of voting rights are attributable to Newton Investment
Management Ltd. pursuant to Section 22 paragraph 1 sentence 1 no. 6 WpHG.

Further in the name and on behalf of

WpHG (German Securities Trading Act) that on March 17, 2010 the voting
rights of each above mentioned company in Bilfinger Berger AG fell below
the threshold of 3% and each amounted to 2.97% (1,367,751 voting rights) on
this day.

These 2.97% (1,367,751 voting rights) are attributable to each above listed
company pursuant to Section 22 paragraph 1, sentence 1 no. 6 WpHG in
connection with sentence 2 WpHG.

III.
Further in the name and on behalf of MBC Investments Corp., Greenville, USA
we hereby notify pursuant to section 21, paragraph 1, sentence 1 of the
WpHG (German Securities Trading Act) that on March 17, 2010 the voting
rights of the above mentioned company in Bilfinger Berger AG fell below the
threshold of 3% and amounted to 2.98% (1,374,642 voting rights) on this
day.

These 2.98% (1,374,642 voting rights) are attributable to the above listed
company pursuant to Section 22 paragraph 1, sentence 1 no. 6 WpHG in
connection with sentence 2 WpHG.

IV.
Further we, The Bank of New York Mellon Corporation, hereby notify pursuant
to section 21, paragraph 1, sentence 1 of the WpHG (German Securities
Trading Act) that on April 16, 2010 our voting rights in Bilfinger Berger
AG fell below the threshold of 3% and amounted to 2.78% (1,279,117 voting
rights) on this day.

These 2.78% (1,279,117 voting rights) are attributable to us pursuant to
Section 22
paragraph 1 sentence 1 no. 6 WpHG and Section 22 para. 1 sentence 2 WpHG.'
