Allianz SE, with its registered office in Munich, Germany, has notified us
pursuant to section 21 para. 1 WpHG that on January 28. 2011 their
percentage holding of the voting rights in Fresenius SE & Co. KGaA,
Else-Kröner-Str. 1, 61352 Bad Homburg v. d. H., Germany, crossed below the
threshold of 5% and amounted to 4.26% (equivalent to 6,920,552 voting
rights of a total of 162,450,090 voting rights). Thereof, 4.26% (6,919,271
voting rights) were attributable to Allianz SE pursuant to sec. 22 para. 1
sentence 1 no. 1 WpHG and 0.0008% (1,281 voting rights) were attributable
to Allianz SE pursuant to sec. 22 para. 1 sentence 1 no. 6 WpHG.

The voting rights attributable to Allianz SE are held by the following
companies controlled by Allianz SE; each of their percentage holding of
voting rights in Fresenius SE & Co. KGaA exceeded 3% or more:

* Allianz Deutschland AG
* Jota Vermögensverwaltungsgesellschaft mbH
* Allianz Lebensversicherungs-AG

Furthermore, Allianz SE notified us pursuant to section 21 para. 1 WpHG in
connection with section 24 WpHG of the following:

1. On January 28, 2011, the percentage holding of voting rights in
   Fresenius SE & Co. KGaA of Allianz Deutschland AG with its registered
   office in Munich, Germany, crossed below the threshold of 5% and amounted
   to 4.19% (equivalent to 6,811,382 voting rights of a total of 162,450,090
   voting rights). The voting rights are attributable to Allianz Deutschland
   AG pursuant to sec. 22 para. 1 sentence 1 no. 1 WpHG.

The voting rights attributable to Allianz Deutschland AG are held by the
following companies controlled by Allianz Deutschland AG; each of their
percentage holding of voting rights in Fresenius SE & Co. KGaA exceeded 3%
or more:

* Jota Vermögensverwaltungsgesellschaft mbH
* Allianz Lebensversicherungs-AG

1. On January 28, 2011, the percentage holding of voting rights in
   Fresenius SE & Co. KGaA of Jota Vermögensverwaltungsgesellschaft mbH with
   its registered office in Munich, Germany, crossed below the threshold of 5%
   and amounted to 4.15% (equivalent to 6,749,759 voting rights of a total of
   162,450,090 voting rights). The voting rights are attributable to Jota
   Vermögensverwaltungsgesellschaft mbH pursuant to sec. 22 para. 1 sentence 1
   no. 1 WpHG.

The voting rights attributable to Jota Vermögensverwaltungsgesellschaft mbH
are held by the following company controlled by Jota
Vermögensverwaltungsgesellschaft mbH; the percentage holding of voting
rights in Fresenius SE & Co. KGaA exceeded 3% or more:

* Allianz Lebensversicherungs-AG

1. On January 28, 2011, the percentage holding of voting rights in
   Fresenius SE & Co. KGaA of Allianz Lebensversicherungs-AG with its
   registered office in Stuttgart, Germany, crossed below the threshold of 5%
   and amounted to 4.15% (equivalent to 6,749,759 voting rights of a total of
   162,450,090 voting rights).
