from 2,740,382 voting rights.

pursuant to section 22 (1) sent. 1 no. 6 in connection with sent. 2 WpHG.

Furthermore, Fresenius SE & Co. KGaA was notified in the name and on behalf
of Fidelity Management & Research Company, Boston, Massachusetts, USA,
pursuant to section 21 (1) WpHG of the following:

On 28 January 2011 the voting rights held by Fidelity Management & Research
Company crossed below the threshold of 3% of the voting rights in Fresenius
SE & Co. KGaA, Else-Kröner-Straße 1, 61352 Bad Homburg v.d.H., Germany. On
that date, Fidelity Management & Research Company held 1.57% of the voting
rights in Fresenius SE & Co. KGaA, arising from 2,552,500 voting rights.

All voting rights in Fresenius SE & Co. KGaA were attributed to Fidelity
Management & Research Company pursuant to section 22 (1) sent. 1 no. 6
