Dissemination of a Voting Rights Announcement, transmitted by

With letter dated 28 February 2011 (i) People's Republic of China, acting
through the Aviation Industry Corporation of China, as ultimate shareholder
of Max Glory Industries Limited in its own name and (ii) AVIC International
Holding Corporation, CATIC Beijing Co. Limited, following a name change now
AVIC International Beijing Company Limited, AVIC International Kairong
Limited, Kaihang Industrial Limited and Max Glory Industries Limited
(jointly referred to as the 'Companies') in each case in their own name
have notified us pursuant to sections 21 para. 1, 22 and 24 WpHG that on 22
February 2011 that the portion of voting rights in KHD Humboldt Wedag
International AG exceeded the thresholds of 3 per cent, 5 per cent, 10 per
cent, 15 per cent and 20 per cent as of that day and has amounted to
20.0000008 per cent (9,940,715 voting rights) with respect to each of the
Companies and to 20.0000008 per cent (9,940,715 voting rights) attributable
to The People's Republic of China.

With respect to the purposes pursued with the acquisition of the voting
rights People's Republic of China, acting through the Aviation Industry
Corporation of China, has notified us the following in its own name as well
as in the name and on behalf of Companies with letter dated 28 February
2011:

1.1 The investment was made to pursue strategic purposes, in particular
AVIC International Beijing Company Limited (formerly CATIC Beijing Co.
Limited) (hereinafter further referred to as 'CATIC') and KHD Humboldt
Wedag International AG have identified the need to increase their
competitiveness in the market and business of cement plant engineering,
procurement and construction (together the 'EPC Business'). The intended
cooperation between KHD Humboldt Wedag International AG and CATIC aims
inter alia at, and is based on, adding CATIC's EPC (engineering procurement
construction) capability and procurement strength to Issuer's process know
how, technology, products and services, enabling CATIC and KHD Humboldt
Wedag International AG to cooperate in EPC Business relating to Cement
Plant Projects leveraging on CATIC's EPC capability and procurement
strength together with KHD Humboldt Wedag International AG's renowned
technology and brand of products and services.

1.2 It is not our intention to obtain additional voting rights in KHD
Humboldt Wedag International AG within the next twelve months by
acquisition or in any other way.

1.3 Is it intended to exert influence on the composition of the management
board and the supervisory board of KHD Humboldt Wedag International AG in
accordance with the statutory law through the Companies controlled by the
People's Republic of China. In particular it is intended to nominate
persons for election to the managing board and supervisory board of KHD
Humboldt Wedag International AG corresponding to the importance of the
shareholding in KHD Humboldt Wedag International AG.

1.4 Neither the People's Republic of China, nor the Companies or other
undertakings controlled by the People's Republic of China intend to
substantially change the capital structure of KHD Humboldt Wedag
International AG, especially with respect to the ratio of equity and debt
financing and the dividend policy.

  1. NOTIFICATION OF THE ORIGIN OF FUNDS
    The People's Republic of China, acting through the Aviation Industry
    Corporation of China and the Companies have financed the acquisition of the
    voting rights to 100 per cent by bank loans.
