pursuant to section 21 para. 1 WpHG that their percentage of voting rights
in Fresenius SE & Co. KGaA, Else-Kröner-Str. 1, 61352 Bad Homburg v. d. H.,
Germany, exceeded the thresholds of 3% and 5% on May 13, 2011 and amounts
to 5.52% (equivalent to 8,961,777 voting rights of a total of 162,450,090
voting rights) as per this date.

SEB AG, with its registered office in Frankfurt, Germany, has further
notified us pursuant to section 21 para. 1 WpHG that their percentage of
voting rights in Fresenius SE & Co. KGaA, Else-Kröner-Str. 1, 61352 Bad
Homburg v. d. H., Germany, fell below the thresholds of 5% and 3% on May
16, 2011 and amounts to 1.70% (equivalent to 2,761,777 voting rights of a
total of 162,450,090 voting rights) as per this date.

Skandinaviska Enskilda Banken AB (publ), with its registered office in
Stockholm, Sweden, has notified us pursuant to section 21 para. 1 WpHG that
their percentage of voting rights in Fresenius SE & Co. KGaA,
Else-Kröner-Str. 1, 61352 Bad Homburg v. d. H., Germany, exceeded the
thresholds of 3% and 5% on May 13, 2011 and amounts to 5.58% (equivalent to
9,068,446 voting rights of a total of 162,450,090 voting rights) as per
this date. All voting rights are to be attributed to Skandinaviska Enskilda
Banken AB (publ) pursuant to sec. 22 para. 1 sentence 1 no. 1 WpHG.
Attributed voting rights are held via the following companies that are
controlled by Skandinaviska Enskilda Banken AB (publ) and whose holdings of
voting rights amount to 3% each or more in Fresenius SE & Co. KGaA:

Skandinaviska Enskilda Banken AB (publ), with its registered office in
Stockholm, Sweden, has further notified us pursuant to section 21 para. 1
WpHG that their percentage of voting rights in Fresenius SE & Co. KGaA,
Else-Kröner-Str. 1, 61352 Bad Homburg v. d. H., Germany, fell below the
thresholds of 5% and 3% on May 16, 2011 and amounts to 1.77% (equivalent to
2,868,446 voting rights of a total of 162,450,090 voting rights) as per
this date. All voting rights are to be attributed to Skandinaviska Enskilda
Banken AB (publ) pursuant to sec. 22 para. 1 sentence 1 no. 1 WpHG.
