We, the Baillie Gifford Overseas Limited, Edinburgh, Scotland, UK, hereby
give notice pursuant to sec. 21 para. 1 of the WpHG, that on 14 July 2011,
our voting interest in XING AG, Hamburg, Germany, exceeded the threshold of
3 per cent and on this date amounted to 3.08% (this corresponds to 166,223
voting rights).

All of these 3.08% (this corresponds to 166,223 voting rights) are
attributed to Baillie Gifford Overseas Limited pursuant sec. 22 para. 1
sent. 1 no. 6 of the WpHG.
