Deutsche Bank AG with its registered office in Frankfurt am Main, Germany,
has notified us pursuant to section 21 para. 1 WpHG that their percentage
of voting rights in Fresenius SE & Co. KGaA, Else-Kröner-Str. 1, 61352 Bad
Homburg v. d. H., Germany, exceeded the thresholds of 3% and 5% on May 15,
2012, and amounted to 5.79% as per this date. This is equivalent to
10,250,631 non-par bearer ordinary shares.

At the same time, Deutsche Bank AG with its registered office in Frankfurt
am Main, Germany, has notified us pursuant to section 21 para. 1 WpHG that
their percentage of voting rights in Fresenius SE & Co. KGaA,
Else-Kröner-Str. 1, 61352 Bad Homburg v. d. H., Germany, fell below the
thresholds of 5% and 3% on May 16, 2012, and amounts to 0.00% as per this
date (equivalent to zero voting rights).

The notification pursuant to section 21 para. 1 WpHG is due to the co-lead
management of Deutsche Bank AG in a capital increase of Fresenius SE & Co.
KGaA which was registered in the commercial register on May 15, 2012.
