On June 26, 2012, BlackRock Financial Management, Inc., New York, USA,
informed us according to Article 21, Section 1 of the WpHG that on June 20,
2012 its percentage of voting rights in SAP AG, Walldorf, Germany, exceeded
the threshold of 5% and on that day amounted to 5.10% (this corresponds to
62,597,732 voting rights).
All of these voting rights are to be attributed to BlackRock Financial
Management, Inc. according to Article 22, Section 1, Sentence 1, No.6 in
connection with Sentence 2 of the WpHG.

On June 26, 2012, BlackRock Holdco 2, Inc., Wilmington/Delaware, USA,
informed us according to Article 21, Section 1 of the WpHG that on June 20,
2012 its percentage of voting rights in SAP AG, Walldorf, Germany, exceeded
the threshold of 5% and on that day amounted to 5.10% (this corresponds to
62,597,732 voting rights).
All of these voting rights are to be attributed to BlackRock Holdco 2, Inc.
according to Article 22, Section 1, Sentence 1, No.6 in connection with
Sentence 2 of the WpHG.
