-1- Pursuant to Sec. 21(1) German Securities Trading Act ('WpHG'), KB
Holding GmbH, Grünwald, Germany, informed us on November 21, 2012, that its
voting interest in Werdohl, Germany, based Vossloh AG (ISIN: DE0007667107,
German SIN: 766710) crossed on November 19, 2012, above 20% and 25% to
25.14% (equivalent to 3,349,888 votes).

-2- Pursuant to Sec. 21(1) German Securities Trading Act ('WpHG'), Stella
Vermögensverwaltungs GmbH, Grünwald, Germany, informed us on November 21,
2012, that its voting interest in Werdohl, Germany, based Vossloh AG (ISIN:
DE0007667107, German SIN: 766710) crossed on November 19, 2012, above 20%
and 25% to 25.14% (corresponding to 3,349,888 votes). This 25.14% voting
stake (3,349,888 votes) is attributable to the notifying company under the
terms of Sec. 22(1) Clause 1 No. 1 WpHG. Votes attributable to the
notifying company are held by the following company (which is controlled by
it and holds a voting stake in Vossloh AG of 3% or more): KB Holding GmbH,
Grünwald, Germany.
