By letter dated November 21, 2012, we were informed for and on behalf of KB
Holding, Grünwald, Germany, and Stella Vermögensverwaltungs GmbH, Grünwald,
Germany, that the voting interest held by the before mentioned parties in
Vossloh AG crossed on November 19, 2012, above 20% and 25% to 25.14%
(3,349,888 votes).

In the context of the foregoing notification, we were further informed for
and on behalf of said notifying party pursuant to Sec. 27a(1) German
Securities Trading Act ('WpHG') as follows:

-I- Acquisition purposes:

-1- With his stake, the notifying party aims at a long-term strategic
investment in Vossloh AG.

-2- Within the 12 months ahead, the notifying party intends to purchase or
otherwise acquire further voting interests in Vossloh AG.

-3- The notifying party seeks to exert influence on the staffing of the
issuer's executive, management and/or supervisory boards.

-4- The notifying party does not aspire to any significant change in the
issuer's capital structure, particularly regarding leverage (debt-equity
ratio) and dividend policy.

-II- The acquisition of the voting interests was exclusively funded through
internal resources.
