Eisen- und Hüttenwerke AG: Restructuring measures

Eisen- und Hüttenwerke AG / Key word(s): Restructure of Company

08.02.2013 10:01

Dissemination of an Ad hoc announcement according to § 15 WpHG, transmitted
by DGAP - a company of EquityStory AG.
The issuer is solely responsible for the content of this announcement.

The Executive Board of ThyssenKrupp Steel Europe AG (Steel Europe),
majority shareholder of Eisen- und Hüttenwerke AG (EHW), today informed the
Executive Board of EHW about the open-ended review and development of
concrete operational and strategic adjustments in the Steel Europe business
area in connection with the 'Best in Class reloaded' performance program.

These also include concrete options (e.g. closure, relocation or sale of
business units and facilities) involving options for the cold-rolling and
coating plant in Neuwied and the grain-oriented electrical steel products
of ThyssenKrupp Electrical Steel which are part of the EHW group of
subsidiaries.

Measures resulting from this may affect the minority dividend paid under
stock corporation law by Steel Europe to EHW under the existing profit
transfer agreements and this would also affect the dividend distributed by
EHW to its shareholders.

The 'Best in Class (BiC) reloaded' optimization program of Steel Europe is
a forceful step involving operational and structural adjustments aimed at
improving the competitiveness of ThyssenKrupp's European steel operations
in a difficult market environment and achieving the profitability and
capital efficiency required by the Group.
