On February 4, 2013, the voting interest held by Schroder Administration
Limited, London, UK, in GEA Group Aktiengesellschaft, Düsseldorf, Germany,
fell below the threshold of 3% and amounted to 2.99% (5,756,985 voting
rights) on that day.

All of the voting rights are attributable to Schroder Administration
Limited pursuant to sec. 22 para. 1 sent. 1 no. 6 in connection with sent.
2 WpHG.

   sec. 21 para. 1 WpHG as follows:
