On May 17, 2013, Software AG was notified by Alken Luxembourg S.à r.l. and
Alken Fund SICAV, Luxembourg, Luxembourg, pursuant to section 21 para. 1
WpHG of the following:

a) On May 14, 2013, the voting rights held by Alken Luxembourg S.à r.l.,
Luxembourg, Luxembourg, fell below the threshold of 3% of the voting
rights in Software AG, Uhlandstrasse 12, 64297 Darmstadt, Germany. On
that date, Alken Luxembourg S.à r.l. held 2.98% of the voting rights in
Software AG (this corresponds to 2,591,127 voting rights).

All voting rights in Software AG were attributed to Alken Luxembourg S.à
r.l. pursuant to section 22, para. 1, sentence 1, no. 6 WpHG.

b) On May 14, 2013, the voting rights held by Alken Fund SICAV,
Luxembourg, Luxembourg, fell below the threshold of 3% of the voting
rights in Software AG, Uhlandstrasse 12, 64297 Darmstadt, Germany. On
that date, Alken Fund SICAV held 2.98% of the voting rights in Software
AG (this corresponds to 2,591,127 voting rights).
