Publication pursuant to Sec. § 30e para. 1 no. 1 German Securities Trading
Act (WpHG)

(Amendment of rights attached to securities)

The shareholders' meeting and the separate meeting of preference
shareholders of ProSiebenSat.1 Media AG on July 23, 2013, resolved the
conversion of the preference bearer shares into registered common shares
and the cancellation of the restriction on transferability (Vinkulierung)
of the common shares. The amendments of the articles of association were
registered in the commercial register of the Company on August 16, 2013.
With the registration of the amendments of the articles of association, the
former non-voting preference bearer shares were converted into voting
registered common shares under cancellation of the preferential dividend
right according to section 19 para. 1 of the articles of association of the
Company. Furthermore, all common shares can now be transferred without the
consent of the Company; the former requirement of consent of the Executive
Board to a transfer of registered common shares pursuant to section 5 para.
4 of the articles of association (restriction on transferability,
Vinkulierung) has been cancelled.

The full text of the amendments of the articles of association is included
under agenda item 8 in the invitation to the shareholders' meeting, which
was published in the Federal Gazette (Bundesanzeiger) on June 12, 2013.
