A. The following entities have notified ProSiebenSat.1 Media AG on 22
August 2013 by notification pursuant to §§ 21 para. 1, 22 of the German
Securities Trading Act (WpHG) as follows:

The share of voting rights of BlackRock Financial Management, Inc., New
York, New York, United States of America, in ProSiebenSat.1 Media AG,
Medienallee 7, 85774 Unterföhring, Germany, exceeded the threshold of 3% on
16 August 2013 and amounted to approximately 3.59% of the total number of
voting rights (7,852,105 voting rights of a total number of 218,797,200
voting rights) in ProSiebenSat.1 Media AG.

The share of voting rights of approximately 3.59% of the total number of
voting rights (7,852,105 voting rights of a total number of 218,797,200
voting rights) was attributed to BlackRock Financial Management, Inc.
pursuant to § 22 para. 1 sent. 1 no. 6 in connection with § 22 para. 1
sent. 2 WpHG.

The share of voting rights of BlackRock, Inc., New York, New York, United
States of America, in ProSiebenSat.1 Media AG, Medienallee 7, 85774
Unterföhring, Germany, exceeded the threshold of 3% on 16 August 2013 and
amounted to approximately 3.63% of the total number of voting rights
(7,951,761 voting rights of a total number of 218,797,200 voting rights) in
ProSiebenSat.1 Media AG.

The share of voting rights of approximately 3.63% of the total number of
voting rights (7,951,761 voting rights of a total number of 218,797,200
voting rights) was attributed to BlackRock, Inc. pursuant to § 22 para. 1

7, 85774 Unterföhring, Germany, exceeded the threshold of 3% on 16 August
2013 and amounted to approximately 3.59% of the total number of voting
rights (7,852,105 voting rights of a total number of 218,797,200 voting
rights) in ProSiebenSat.1 Media AG.

The share of voting rights of approximately 3.59% of the total number of

voting rights) was attributed to BlackRock Holdco 2, Inc. pursuant to § 22
para. 1 sent. 1 no. 6 in connection with § 22 para. 1 sent. 2 WpHG.

August 2013 by notification pursuant to §§ 21 para. 1, 22 of the German
Securities Trading Act (WpHG) as follows:

The share of voting rights of Capital Research and Management Company, Los
Angeles, California, United States of America, in ProSiebenSat.1 Media AG,
Medienallee 7, 85774 Unterföhring, Germany, exceeded the thresholds of 3%
and 5% on 16 August 2013 and amounted to approximately 7.61% of the total
number of voting rights (16,660,800 voting rights of a total number of
218,797,200 voting rights) in ProSiebenSat.1 Media AG.

The share of voting rights of approximately 7.61% of the total number of
voting rights (16,660,800 voting rights of a total number of 218,797,200
voting rights) was attributed to Capital Research and Management Company
pursuant to § 22 para. 1 sent. 1 no. 6 WpHG.

1. The Capital Group Companies, Inc.

The share of voting rights of The Capital Group Companies, Inc., Los
Angeles, California, United States of America, in ProSiebenSat.1 Media AG,
Medienallee 7, 85774 Unterföhring, Germany, exceeded the thresholds of 3%
and 5% on 16 August 2013 and amounted to approximately 7.61% of the total
number of voting rights (16,660,800 voting rights of a total number of
218,797,200 voting rights) in ProSiebenSat.1 Media AG.

The share of voting rights of approximately 7.61% of the total number of
voting rights (16,660,800 voting rights of a total number of 218,797,200
voting rights) was attributed to The Capital Group Companies, Inc. pursuant
